Nature of Changes
This disclosure details the cessation of three Non-Executive Non-Independent Directors from the Board of 3i Infotech Limited, effective from the conclusion of the 33rd Annual General Meeting (AGM) held on August 28, 2026.

- Mr. Ambarish Dasgupta (DIN: 00160744): Retired by rotation. As previously communicated via a letter dated July 23, 2026, he expressed his intention not to seek re-appointment upon retirement.
- Mr. Sanjay Vatsa (DIN: 05242096): Ceased to hold office. The resolution for his appointment as an Additional Director was not passed with the requisite majority by the shareholders voting remotely and at the AGM.
- Mr. Umesh Mehta (DIN: 09244647): Removed from office. An ordinary resolution for his removal, initiated by a special notice from a member under Sections 115 and 169 of the Companies Act, 2013, was passed with the requisite majority by the shareholders.
Effective Date and Board Composition
All three cessations took effect on August 28, 2026. Consequently, the total strength of the Board has been reduced to 4 (four) Directors.
