Dividend Recommendation and Key Dates
The Board of Directors at their meeting held on May 22, 2026 recommended:
- Final Dividend: ₹160 per equity share of ₹10 each
- Special Dividend: ₹346 per equity share of ₹10 each
These dividends are subject to shareholder approval at the 39th Annual General Meeting scheduled for August 26, 2026. The dividend will be payable to shareholders of record as of Friday, July 17, 2026 (Record Date). The company corrected an initial typographical error that stated July 18, 2026 as the record date. If declared, dividends will be paid/dispatched within 30 days after the AGM.
Tax Withholding Framework
Pursuant to Finance Act, 2026 amendments:
- The company is required to withhold taxes at prescribed rates on dividends paid to shareholders
- No tax will be deducted for resident individual shareholders if total dividend during Tax Year 2026-27 does not exceed ₹10,000
- Withholding tax rates vary depending on residential status, shareholder category, and provision of requisite declarations
Resident Shareholder Tax Rates
- Valid PAN updated with DP/RTA: 10% withholding tax
- No/Invalid/Inoperative PAN: 20% withholding tax
- Lower/nil tax deduction certificate u/s 395(1): Rate specified in certificate
Non-Resident Shareholder Tax Rates
- FIIs/FPIs/non-resident shareholders: 20% (plus applicable surcharge and cess)
- Category III AIF in IFSC: 10% (plus applicable surcharge & cess)
- Tax residents of Notified Jurisdictional Area: 30%
- Sovereign Wealth funds and Pension funds notified by Central Government: NIL
- Subsidiary of Abu Dhabi Investment Authority (ADIA): NIL
- Lower/NIL tax deduction certificate u/s 395: Rate specified in certificate
Documentation Requirements and Deadline
Shareholders must submit required documents by August 8, 2026, through the link: https://ris.kfintech.com/form15/
Documents required include:
- Form 121 for resident shareholders claiming nil/lower deduction
- Self-declaration in Annexure-1 for specific exempt entities (LIC, GIC, Business Trusts, Mutual Funds, AIFs, etc.)
- For non-residents: Form 41, Tax Residency Certificate, self-declaration in Annexure-2
- Copy of PAN card (self-attested)
- Registration certificates where applicable
- Lower tax withholding certificates from IT Department
Important Notes and Disclaimers
- The company reserves the right to reject incomplete documents and will not consider communications received after August 8, 2026
- Shareholders are responsible for updating KYC data with RTA/DP
- Tax credit statements can be downloaded from Income Tax Department's website (Form 168)
- Shareholders can claim refunds through income tax returns if higher tax is deducted
- Shareholders indemnify the company against any penal consequences from misrepresentation
