Dividend Declaration Details

The Board of Directors declared an interim dividend of ₹12 per fully paid-up equity share (face value ₹10 each) at their meeting held on Wednesday, August 12, 2026. The dividend will be payable to shareholders whose names appear in depository records as beneficial owners as at the close of business hours on Tuesday, September 1, 2026 (Record Date).

Payment will be made within 30 days from declaration date, i.e., on or before Thursday, September 10, 2026, through electronic modes only as mandated by SEBI LODR Regulations.

Tax Deduction at Source Provisions

For Resident Shareholders

  • Standard TDS rate: 10% under Section 393(1) r.w.s. 393(4) of Income Tax Act 2025
  • Enhanced rate of 20% applies if PAN is not available/invalid/inoperative under Section 397 or Section 262(9)
  • No TDS if total dividend during financial year does not exceed ₹10,000 for resident individual shareholders
  • Exemptions available for:
  • Mutual Funds (NIL rate) with SEBI registration certificate and PAN
  • Insurance Companies (NIL rate) with IRDAI registration certificate and PAN
  • Entities covered under Section 393(5) (government, RBI, tax-exempt corporations)
  • Alternative Investment Funds Category I & II (NIL rate) with appropriate declarations
  • Shareholders submitting lower/NIL withholding tax certificates under Section 395
  • Shareholders providing Form 121 (corresponding to Form 15G/15H) meeting eligibility conditions

For Non-Resident Shareholders

  • Standard withholding tax rate: 20% plus applicable surcharge and cess under Section 393(2)
  • Option to claim beneficial DTAA rates subject to submission of:
  • Tax Residency Certificate (TRC)
  • Electronically filed Form 41 (corresponding to Form 10F)
  • Valid Indian PAN (if any)
  • Comprehensive self-declaration covering tax residency, beneficial ownership, and business presence
  • Special rates:
  • 30% for shareholders from Notified Jurisdictional Areas under Section 176
  • NIL rate for Sovereign Wealth Funds and Pension Funds notified under Schedule V (Table S. No. 7)
  • Rate specified in Section 395 orders for lower/NIL withholding

Important Deadlines and Procedures

Shareholders must submit all required tax declaration documents to investortaxdeclarations@akgroup.co.in on or before Tuesday, September 1, 2026 (6:00 PM IST). No communications will be considered after this deadline.

Additional Requirements

  • Shareholders holding shares in physical form must update KYC details (PAN, contact details, mobile number, bank account details, signature) with RTA MUFG Intime India Private Limited
  • Shareholders with multiple accounts under different status categories but single PAN will be taxed at the highest applicable rate across all holdings
  • For joint holdings, TDS rates will be based on the status of the primary beneficial shareholder
  • TDS credits will be available in Form 26AS through the income tax e-filing portal

Consequences of Non-Compliance

If required documents are not submitted by the deadline, tax will be deducted at higher applicable rates. The Company will not refund any excess TDS deducted - shareholders must claim refunds through their income tax returns. The Company reserves the right to reject incomplete or discrepant documents.
