Proceedings Summary

Shri Tushar Dhirubhai Devera, Company Secretary, welcomed members and briefed them on the proceedings and e-voting facilities. The Notice of the AGM and Annual Report for FY 2025-26 had been circulated electronically. Shri Utkarsh Shah was appointed as the Scrutiniser for the voting process.

The Notice of the AGM, Audited Financial Statements for FY 2025-26, and the Reports of the Board of Directors and Auditors were taken as read with the permission of the members.

Chairman's Address:

Shri Patel Divyang Jashvantbhai, Chairman, apprised members of the company's performance:

  • FY 2025-26 Net Profit: Approximately ₹23.73 crores
  • Recommended Dividend: ₹0.10 per equity share (face value ₹10 each), aggregating to approximately ₹44 lakhs
  • Q1 FY 2026-27 Performance: Total Income of approximately ₹77.46 crores and Net Profit of approximately ₹3.09 crores, compared to a net profit of ₹2.28 crores in the corresponding quarter of the previous year.

Operations Overview:

Shri Vivek Rasiklal Gothi, Whole Time Director, provided an overview of the company's operations, production, product development, future outlook, and key opportunities and challenges in the textile industry.

Shareholder Queries:

Registered Speaker Shareholders were not present during the meeting, and accordingly, no queries were raised.

Resolutions Considered

The following nine resolutions, as set out in the AGM notice, were placed for member consideration and approval:

Ordinary Business:

1. Adoption of Audited Standalone and Consolidated Financial Statements for FY 2025-26, together with the Reports of the Board of Directors and Auditors thereon (Ordinary Resolution)

2. Re-appointment of Shri Jashvantbhai Valjibhai Patel (DIN: 00038972), who retires by rotation and is eligible for re-appointment (Ordinary Resolution)

3. Declaration of dividend of ₹0.10 per equity share of ₹10 each (Ordinary Resolution)

4. Appointment of M/s. S N D K & Associates LLP, Chartered Accountants, as Statutory Auditors for a term of five consecutive years (Ordinary Resolution)

6. Appointment of Shri Utsav Himanshu Trivedi as an Independent Director of the Company (Special Resolution)

Voting Process

The e-voting facility was kept open for 15 minutes after the conclusion of the meeting proceedings for members who had not voted earlier. The company informed that the results of the remote e-voting and e-voting conducted during the AGM, together with the Scrutiniser's Report, would be declared within the prescribed statutory timeline and submitted to the Stock Exchanges and placed on the Company's website.
