Aastha Spintex Limited is engaged in manufacturing and trading of carded, combed and compact combed cotton yarns and cotton bales. The company operates through a semi-automated integrated ginning and spinning manufacturing facility located at Halvad, Morbi, Gujarat, spread across 65,762 square meters. The company produces 100% cotton yarns in counts ranging from Ne 26 to Ne 40, used across knitting and weaving applications catering to denim, terry towels, shirting, sheeting, sweaters, socks, bottom wear, home textiles and industrial fabrics.
Offer Details
Initial Public Offering (IPO): Fresh issue of 1,25,00,000 Equity Shares of face value ₹10 each at ₹136 per share, aggregating to ₹170 crores. Price band ranges from ₹125 to ₹136 per share. The issue includes standard reservations for QIBs (20%), NIIs (40%) and RIIs (40%) with listing proposed on both BSE and NSE.
Objects of the Issue: Net proceeds will be utilized for: (i) Payment of purchase consideration for acquisition of 100% equity shares of Falcon Yarns Private Limited (₹111.51 crores); (ii) Funding working capital requirements of Falcon Yarns Private Limited by way of inter-corporate deposits (₹30 crores); (iii) General corporate purposes.
Financial Performance
Revenue Growth: Demonstrated strong growth trajectory with revenue increasing from ₹239.27 crores in FY23 to ₹351.16 crores in FY25, and ₹313.29 crores for 9M FY26.
Profitability Improvement: PAT showed remarkable improvement from ₹1.06 crores in FY23 to ₹22.92 crores in FY25, with 9M FY26 PAT at ₹17.56 crores. EBITDA margin improved from 4.85% in FY23 to 13.20% in FY25.
Capital Structure: Pre-issue paid-up capital of ₹316.42 lakhs (3,16,42,190 Equity Shares) expanding to ₹441.42 lakhs post-issue. Promoter holding will dilute from 65.22% pre-IPO to 46.75% post-IPO.
Strategic Acquisition
Falcon Yarns Acquisition: Total acquisition cost of ₹131.51 crores, with ₹20 crores already paid from internal accruals and ₹111.51 crores to be funded from IPO proceeds. Post-acquisition, Falcon Yarns will become a wholly-owned subsidiary.
Capacity Expansion: The acquisition will significantly enhance operational scale, increasing spinning capacity from 7,700 MT to 17,457 MT annually. Falcon Yarns reported revenue of ₹249.44 crores in FY25.
