The 32nd Annual General Meeting (AGM) of Action Construction Equipment Limited will be held on Friday, September 18, 2026 at 12:00 Noon (IST) through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The deemed venue of the AGM shall be the registered office of the Company at Dudhola Link Road, Dudhola, Distt. Palwal-121102, Haryana.

Ordinary Business

1. Adoption of Financial Statements

  • To receive, consider, and adopt the audited standalone financial statements of the Company for the financial year ended March 31, 2026, and the reports of the Board of Directors and Auditors thereon.
  • To receive, consider, and adopt the audited consolidated financial statements of the Company for the financial year ended March 31, 2026, and the report of the Auditors thereon.
  • These will be proposed as Ordinary Resolutions.

2. Declaration of Final Dividend

  • To declare a final dividend of ₹2.00 per equity share (100% on face value of ₹2 each) for the Financial Year ended March 31, 2026, as recommended by the Board of Directors.
  • The dividend is proposed to be paid out of the profits of the Company.
  • This will be proposed as an Ordinary Resolution.

3. Appointment of Director Retiring by Rotation

  • To appoint Mr. Sorab Agarwal (DIN: 00057666), who retires by rotation, as a Director of the Company.
  • This will be proposed as an Ordinary Resolution.

Special Business

4. Ratification of Cost Auditor Remuneration

  • To ratify the remuneration of M/s Vandana Bansal & Associates, Cost Accountants (Firm Registration No: 100203), appointed as Cost Auditors for the financial year ending March 31, 2027.
  • The remuneration approved by the Board is ₹1,75,000/- (Rupees One Lakh Seventy Five Thousand only) plus applicable taxes, inclusive of all out-of-pocket expenses.
  • This will be proposed as an Ordinary Resolution.

5. Approval for Loans, Guarantees, and Investments under Section 186

  • To seek member approval for giving loans, inter-corporate deposits, providing guarantees, and acquiring securities of other body corporates in excess of the limits prescribed under Section 186 of the Companies Act, 2013.
  • The approval is sought for an enhanced aggregate limit of ₹3,000 crore (Rupees Three Thousand Crore Only).
  • As of March 31, 2026, the company's existing exposure under Section 186 was approximately ₹1,291.15 crore.
  • The maximum limit available without member approval, as per the latest audited financials, was the higher of:
  • 60% of paid-up share capital, free reserves, and securities premium account: ₹1,185.40 crore
  • 100% of free reserves and securities premium account: ₹1,951.84 crore
  • The resolution authorizes investments in subsidiaries, associates, related parties, and others, including in advantage funds, multi-assets, mutual funds (equity & debt), commodities including ETF (Gold & Silver), bonds and debentures, AIF (equity & debt), equity shares (listed & unlisted), FDR, and other permitted securities.
  • Mr. Vijay Agarwal (Chairman and MD), Mrs. Mona Agarwal (Whole Time Director), Mr. Sorab Agarwal (Whole Time Director), and Mr. Rajan Luthra (CFO) are severally authorized to negotiate, finalize, and determine the terms and conditions of such transactions.
  • This will be proposed as a Special Resolution.

Dividend and Record Date Details

  • The Board, in its meeting held on May 20, 2026, recommended the final dividend of ₹2.00 per share for FY26.
  • The Record Date for determining members entitled to receive the dividend is Thursday, September 3, 2026.
  • The Register of Members and Share Transfer Books will remain closed from Friday, September 4, 2026, to Friday, September 18, 2026 (both days inclusive).
  • The dividend, after deduction of tax at source, is proposed to be paid/dispatched within 30 days from the date of the AGM (i.e., by approximately October 18, 2026).
  • Dividend will be paid to beneficial owners as per records provided by NSDL and CDSL as of the record date, and to members in the physical register as of the record date.
  • Due to SEBI mandates, dividend will be paid via NECS (National Electronic Clearing Service) using bank details available with depositories/RTA.

Voting Information

  • The cut-off date for determining members entitled to vote is Friday, September 11, 2026.
  • Remote e-Voting will be available through NSDL from Monday, September 14, 2026, at 09:00 AM to Thursday, September 17, 2026, at 05:00 PM.
  • Members can also vote through e-voting on the day of the AGM if they have not already voted remotely.
  • M/s Vasisht & Associates, Company Secretaries, has been appointed as the Scrutinizer to scrutinize the voting process.
  • The Scrutinizer's report will be submitted within 2 working days of the AGM conclusion, and results will be declared thereafter and placed on the company's website and NSDL's website.
