The Board of Directors, at its meeting held on April 30, 2026, recommended a final dividend of ₹2.50 per equity share (face value ₹5 each) for FY 2025-26. This dividend is subject to approval by shareholders at the 19th Annual General Meeting scheduled for Thursday, September 24, 2026. The dividend will be paid to shareholders of record as of September 17, 2026.
TDS Procedures for Resident Shareholders
- Tax will be deducted at 10% if shareholders have registered valid PAN
- Tax will be deducted at 20% if shareholders do not have PAN/have not registered valid PAN
- No TDS for resident individuals if total dividend during TY 2026-27 does not exceed ₹10,000
- No TDS for resident individuals who submit Form 121 meeting all eligibility conditions
- Resident non-individuals (Insurance Companies, Mutual Funds, AIFs, NPS Trust, Recognized provident funds) must submit specific declarations and documents as per Annexure 2 for exemption
- Lower/NIL withholding possible with certificate under Section 395(1) of Income-tax Act, 2025
- PAN-Aadhaar linking is mandatory; non-linked PAN treated as inoperative leading to higher TDS
TDS Procedures for Non-Resident Shareholders
- Default withholding tax rate of 20% plus applicable surcharge and cess
- Rate of 35% plus applicable surcharge and cess if non-residents declare permanent establishment in India
- Option to be governed by Double Taxation Avoidance Agreement if more beneficial
- Required documents: PAN card (or alternative details), Tax Residency Certificate, Form 41, Self-declaration of no Permanent Establishment in India (Annexure 4)
- Additional requirements for Singapore tax residents regarding Article 24 - Limitation of Relief
- Lower/NIL withholding possible with certificate under Section 395(1)

Documents submitted after this date will not be considered for T rate determination. The Company's Registrar and Transfer Agent is MUFG Intime India Private Limited.
Additional Important Information
- Dividend will be paid only through electronic mode as mandated by SEBI
- Shareholders must ensure bank account details are updated and KYC compliant in demat accounts/physical folios
- Shareholders must update tax residential status, PAN, registered email addresses, mobile numbers with depositories through DPs
- TDS certificates will be issued electronically post dividend payment
- Company reserves right to verify PAN details through NSDL utility
- Higher tax rate applied for shareholders holding under multiple accounts with different residential status
- Shareholders remain responsible for any tax demands arising from misrepresentation
