Scheme of Amalgamation Update
Adani Power Limited (APL) has provided an update regarding the Scheme of Amalgamation involving ten of its wholly owned subsidiaries.
The Scheme, which involves the amalgamation of the following ten subsidiaries with APL, has been sanctioned by the National Company Law Tribunal (NCLT):
- Adani Power Dahej Limited
- Kutchh Power Generation Limited (a step-down wholly owned subsidiary of APL)
- Resurgent Fuel Management Limited
- Mahan Fuel Management Limited
- Orissa Thermal Energy Limited
- Korba Power Limited
- Anuppur Thermal Energy (MP) Private Limited
- Mirzapur Thermal Energy (UP) Private Limited
- Emberiza Infra Park Limited
- Vidarbha Industries Power Limited
The NCLT Bench at Ahmedabad sanctioned the Scheme vide its order dated August 4, 2026. The NCLT Bench at Mumbai sanctioned the Scheme vide its order dated September 24, 2026.
The company confirms that all conditions specified under the Scheme to make it effective have been fulfilled. Consequently, the Scheme has become effective as of September 25, 2026 (the "Effective Date").
As a result of the Scheme becoming effective, all ten wholly owned subsidiaries stand amalgamated with Adani Power Limited and are dissolved without being wound up.
The Appointed Date of the Scheme, as defined in the Scheme document, is April 1, 2025.
