Ordinary Resolution: To approve the appointment of Mr. Sachin Rajkumar Nandgaonkar (DIN: 03410739) as a Non-Executive Nominee Director of the Company. He was initially appointed as an Additional Director by the Board on May 18, 2026, based on the recommendation of the Nomination and Remuneration Committee and nomination by The John Loaves Trust and Jacob Hansen Family Trust.

Voting Process

The company has engaged Central Depository Services (India) Limited (CDSL) to provide the remote e-voting facility. Voting rights are proportionate to the shares held as of the cut-off date, Friday, July 3, 2026. LLP, have been appointed as the Scrutinizer to conduct the Postal Ballot process in a fair and transparent manner. The Scrutinizer will submit a report to the Chairman after the vote scrutiny is complete.

The results of the Postal Ballot will be announced on or before Tuesday, August 11, 2026. The results, along with the Scrutinizer's report, will be placed on the company's website (https://www.ajax-engg.com/) and on CDSL's website (https://www.evotingindia.com/). They will also be communicated to BSE Limited (Scrip Code: 544356) and the National Stock Exchange of India Limited (Scrip Symbol: AJAXENGG). If approved, the resolution will be deemed passed on the last date of remote e-voting, Friday, August 7, 2026.
