Nature of Contract: Domestic supply of various capacity distribution transformers.

Execution Timeframe: The rate contract is to be executed by 20th May, 2028.

Promoter/Group Interest: The company confirmed that its promoters/promoter group/group companies have no interest in TPSODL.

Related Party Transaction: The order does not constitute a related party transaction.

Significant Terms and Conditions

Validity Period: The Rate Contract (RC) is valid for two years, from 21st May 2026 to 20th May 2028.

Pricing Mechanism: Prices are variable and will be adjusted as per the IEEMA (Indian Electrical & Electronics Manufacturers' Association) index. The base date for price variation calculation is 15th July 2025, as per an IEEMA circular from June 2025.

Payment Terms: 100% payment will be made within 60 days for non-MSME bidders (45 days for MSME bidders) upon submission of an error-free invoice after receipt and verification of materials in good condition. Invoices must be submitted via the SIGITECK portal.

Delivery Period: The delivery period is 120 days + 15 days (for drawing/GTP approval) from the date of receipt of the first release order. For subsequent lots, the delivery period is 120 days from the release order date.

Liquidated Damages (LD): LD of 1% of the contract value for the undelivered quantity will be levied for each week of delay, provided the full quantity is supplied within 130% of the original contract time. If the full quantity is not delivered within this extended period, TPSODL reserves the right to levy LD on the entire contract value, subject to a maximum of 10% of the total contract value. Requests for LD waiver must be submitted within 30 days of deduction.

Performance Bank Guarantee (PBG): A PBG amounting to 5% of the RC value must be submitted within 21 days of the RC's issuance. For MSMEs registered in Odisha, the PBG requirement is reduced to 25% of the normal value (i.e., 1.25% of RC value). The PBG will be released after the applicable guarantee period plus one month.

Guarantee Period: A warranty period of 66 months from the date of the last supply is applicable.

GTP & Drawing Approval: The Business Associate (Alfa Transformers) must get the GTP/Drawing approved by TPSODL's competent authority within 15 days of the rate contract issuance. Failure to obtain necessary approvals within stipulated timelines gives TPSODL the right to cancel the contract/order and forfeit the EMD/PBG.

Inspection: TPSODL reserves the right to appoint a third-party inspection agency.

Other Conditions: All terms from the original tender enquiry (TPCODL / CCG / 2025-26 / 1000003845), TPSODL's General Conditions of Contract (GCC), and related documents apply.

Annexure I - Item Schedule

The contract covers the supply of six types of transformers with specified unit rates (exclusive of GST):

  • 63 KVA, 11/0.4KV(AL) Transformer, BIS Level-II: ₹147,537.00 per unit
  • 100 KVA, 11/0.4KV(AL) Transformer, BIS Level-II: ₹188,388.50 per unit
  • 250 KVA, 11/0.4KV(CU) Transformer, BIS Level-II: ₹616,212.50 per unit
  • 500 KVA, 11/0.4KV(CU) Transformer, BIS Level-II: ₹1,245,162.27 per unit
  • 33/0.433 KV, 100KVA, BIS-2 ST Transformer: ₹458,700.56 per unit
  • TRANSFORMER 1250KVA 33/.433KV CU: ₹2,251,138.42 per unit

GST: A GST rate of 9% CGST and 9% SGST (Total 18%) is applicable on all items.

Additional Clauses

E-Invoicing: Mandatory issuance of e-invoices with an IRN and QR code is required for suppliers with a turnover exceeding ₹5 crores in the previous year, as per CBIC notification.

GST Reimbursement: TPSODL reserves the right to withhold GST payments if the supplier's GST deposit is not reflected in its GSTR-2A/2B.
