The 32nd Annual General Meeting (AGM) of Alufluoride Limited was held on Thursday, 16 July, 2026 at 11:00 AM IST through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) in compliance with circulars issued by the Ministry of Corporate Affairs (MCA) and the Securities and Exchange Board of India (SEBI).

Remote E-Voting Process

The Company provided remote e-voting facility through CDSL and NSDL for all members to vote on AGM matters during the period commencing Monday, 13 July, 2026 from 10:00 a.m. IST and ending on Wednesday, 15 July, 2026 at 5:00 p.m. IST. Additional e-voting facility was provided to members attending the AGM through VC/OAVM who had not cast their vote earlier.

Meeting Proceedings

The meeting commenced with the Company Secretary welcoming shareholders and Directors. The Chairman confirmed quorum was present and provided an overview of operations and financial performance for FY 2025-26. Sri Venkat Akkineni (Managing Director) and Sri Aditya Akkineni (Whole Time Director and CEO) made a presentation showcasing company highlights and key developments.

The Notice of AGM was taken as read. The Company Secretary informed members that the Auditors' Report and Secretarial Audit Report did not contain any qualifications and therefore were not required to be read.

Business Transacted

All resolutions contained in the Notice dated 22 May, 2026 were approved by members with requisite majority through remote e-voting and e-voting during the AGM:

Ordinary Business:

Item No. 1(a): To receive, consider and adopt the Audited Standalone Financial Statement including Balance Sheet as on 31 March 2026 and Profit and Loss Account for the year ended 31 March 2026 together with the reports of Directors' and Auditors' thereon.

Item No. 1(b): To receive, consider and adopt the Audited Consolidated Financial Statement including Balance Sheet as on 31 March 2026 and Profit and Loss Account for the year ended 31 March 2026 together with the reports of Auditors' thereon.

Item No. 2: To declare final dividend on equity shares for the financial year ended 31 March 2026.

Item No. 3: To elect a Director in place of Smt. Jyothsana Akkineni (DIN: 00150047) who retires by rotation and being eligible offers herself for re-appointment.

Special Business:

Item No. 4: To consider and approve the remuneration of the Cost Auditors of the Company for financial year 2025-26.

Item No. 5: To consider and approve remuneration payable to Sri Venkat Akkineni (DIN: 00013996), Managing Director of the Company.

Item No. 6: To consider and approve increase in remuneration payable to Sri Aditya Akkineni (DIN: 01629979), WTD and CEO of the Company.

Additional Proceedings

Management addressed shareholder queries during a live question session. Shareholders were informed that voting results would be announced within the prescribed timeline and disseminated to stock exchanges and on the company website, NSDL, and CDSL.
