Scrutinizer's Role and Findings

P. Sriram, a Practicing Company Secretary (Membership No. FCS 4862, CP No. 3310) and Partner at SPNP & Associates, was appointed as the Scrutinizer. His role was to scrutinize the remote e-voting process and ascertain the requisite majority. He confirmed that all votes cast by the deadline were considered. He verified that the number of votes cast in favor of each resolution was more than three times the number of votes cast against, thus fulfilling the requirement for passing a special resolution. He concluded that both resolutions were duly passed by the shareholders.
