Anka India Limited has made a disclosure to BSE Limited pursuant to Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015 regarding receipt of an order from the National Company Law Tribunal (NCLT).
The disclosure concerns the Scheme of Amalgamation of FUTECH INTERNET PRIVATE LIMITED (a wholly-owned subsidiary of Anka India Limited) with ANKA INDIA LIMITED and their respective shareholders. The Hon'ble National Company Law Tribunal, New Delhi Bench (COURT-V) has sanctioned the aforesaid Scheme of Amalgamation.
This intimation is in continuation of previous intimations made on August 14, 2025, September 03, 2025, and October 01, 2026 regarding the same scheme.
The Scheme has an Appointed Date of April 1, 2025. It is subject to fulfilment of conditions stipulated in the Scheme and the respective orders passed by the Hon'ble NCLT Delhi Bench and Chandigarh Bench. The effectiveness of the Scheme is contingent upon completion of requisite statutory and regulatory compliances and filings with the respective Registrar of Companies.
