Anthem Biosciences Settles INR 1,276.83M Upside Sharing

This is a regulatory disclosure pursuant to SEBI LODR Regulations, informing the exchanges of the settlement of a pre-defined upside sharing arrangement.

The settlement follows a previous intimation made on Wednesday, April 22, 2026, and is pursuant to the approval granted by the public shareholders of the company at its Annual General Meeting held on Wednesday, July 22, 2026.

The arrangement was governed by a Waiver-cum-Amendment Agreement dated December 30, 2024. The settlement was executed in accordance with Regulation 26(6) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The specific action taken was the settlement of an upside sharing amount of approximately INR 1,276.83 million (₹127.683 crore). This amount arose from a divestment completed by Viridity Tone LLP.

The recipients of this settlement are the three named Upside Principal Shareholders: Mr. Ajay Bhardwaj, Mr. Ganesh Sambasivam, and Mr. K. Ravindra Chandrappa.
