Meeting Details
The 37th Annual General Meeting of APAR Industries Limited was held on Monday, September 21, 2026, through Video Conferencing (VC). The meeting commenced at 2:30 PM IST and concluded at 3:23 PM IST, lasting 53 minutes.
Mr. Kushal N. Desai, Chairman & Managing Director of the Company, presided over the meeting. Quorum was confirmed present through Central Depository Services (India) Limited (CDSL), which hosted the meeting. All directors including the chairs of the Audit Committee, Nomination and Compensation-cum-Remuneration Committee, and Share Transfer & Shareholders' Grievance-cum-Stakeholders Relationship Committee were present virtually. Statutory Auditors, Secretarial Auditors, Chief Financial Officer (CFO), Company Secretary, and Mr. Vinayak Lele, Sr. Vice President (Finance) also attended.
Agenda Items and Resolutions
The following agenda items from the Notice of AGM dated May 28, 2026, were considered and approved:
Ordinary Business:
1. Adoption of Audited Financial Statements for FY 2025-26 (standalone and consolidated) together with Reports of Board of Directors and Auditors
2. Declaration of dividend at the rate of ₹60 (600%) per equity share of face value ₹10 each for FY 2025-26
3. Re-appointment of Mr. Chaitanya N. Desai (DIN: 00008091) as director who retired by rotation
Special Business:
4. Approval of remuneration to M/s. Rahul Ganesh Dugal & Co., Cost Auditors for FY 2026-27
The Notice convening the AGM, Report of Board of Directors, and Audited Financial Statements were taken as read since they had been circulated. There were no qualifications or adverse remarks in the Statutory Auditors' and Secretarial Auditors' Reports.

Voting Process
Mr. Hemang Mehta (Membership No. 4965), Proprietor of M/s. H. M. Mehta & Associates, was appointed as Scrutinizer to scrutinize remote e-voting and e-voting during the AGM.
Remote e-voting was made available to members, with e-voting facility provided during the AGM and for fifteen minutes thereafter. Results of remote e-voting and e-voting during the AGM along with Scrutinizer's report will be declared and disseminated within 2 working days of the AGM conclusion to stock exchanges and posted on the company website (www.apar.com) and host website (www.evotingindia.com).
Acknowledgments and Conclusion
The Chairman thanked members for participation and acknowledged stakeholders including customers, bankers, financial institutions, government bodies, technical collaborators, dealers, suppliers, channel partners, and CDSL for VC facilities. Specific thanks were given to governments of Sharjah (UAE), Singapore, Saudi Arabia, Brazil, and USA where the company has operations.
Mr. Rajesh Sehgal, Non-Executive Independent Director and member, gave a vote of thanks to the Chair.
