APM Industries Limited held its 52nd Annual General Meeting (AGM) on Thursday, September 10, 2026. The meeting was conducted through Video Conferencing/Other Audio-Visual Means (VC/OAVM) in accordance with circulars issued by the Ministry of Corporate Affairs and Securities and Exchange Board of India.
The AGM commenced at 12:30 PM (IST) and concluded at 1:27 PM (IST), lasting 57 minutes including time allowed for e-voting at the AGM. A total of 73 members attended the meeting, representing 30,93,846 equity shares.

Meeting Proceedings
Shri Rajendra Kumar Rajgarhia chaired the meeting and welcomed all members. The meeting was called to order after confirming the requisite quorum was present. Shri Hari Ram Sharma, Managing Director, commenced the proceedings and introduced all directors, key managerial personnel, and invitees.
Mrs. Neha Goel, Company Secretary, provided general instructions to members regarding participation in the AGM and informed that statutory registers and relevant documents referred to in the AGM notice were available for electronic inspection during the meeting. The Annual Report for financial year 2025-26 containing the Board's report, Auditor's report, financial statements and other reports, along with the Notice of AGM dated August 07, 2026, had been circulated to members at their registered email addresses and were taken as read.
The Statutory Auditor's Report and Secretarial Auditor's Report for financial year 2025-26 contained no qualifications, observations, comments or other remarks, and therefore were not required to be read at the meeting.
Agenda Items Considered
The following items from the AGM Notice were considered:
Ordinary Business:
1. To consider and adopt the Audited Financial Statements of the Company for the Financial Year ended March 31, 2026, together with the Reports of the Board of Directors and Auditors thereon (Ordinary Resolution)
2. To appoint a Director in place of Shri Sanjay Rajgarhia (DIN: 00154167), who retires by rotation and being eligible, offers himself for re-appointment (Ordinary Resolution)
Special Business:
3. To Ratify the Cost Auditors' Remuneration for the Financial Year 2026-27 (Ordinary Resolution)
Voting Process
The Company provided remote e-Voting facility to members from September 07, 2026 (9:00 AM) to September 09, 2026 (5:00 PM). Members who had not cast votes through remote e-Voting were provided opportunity to vote through e-Voting at the AGM.
The Board of Directors appointed Shri Ravi Sharma and Ms. Suman Pandey, Partners of M/s. RSM & Company, Company Secretaries, as scrutinizers to supervise the e-Voting process.
Management Presentation and Q&A
Shri Hari Ram Sharma, Managing Director, highlighted the Company's performance during financial year 2025-26 and briefed members on operational performance and key initiatives.
Pre-registered members were given opportunity to ask questions and express views, to which the Managing Director responded.
Conclusion and Next Steps
E-Voting on the NSDL platform remained open for an additional 15 minutes after the meeting. The consolidated result of remote e-Voting and e-Voting at the AGM will be declared within prescribed time limits and placed on the Company's website (www.apmindustries.co.in), NSDL website (www.evoting.nsdl.com), and communicated to BSE Limited. The results will also be displayed at the Registered Office of the Company.
The Company Secretary proposed a vote of thanks to conclude the meeting.
