Apnimed Inc. IPO Pricing and Offering Details

Apnimed Inc., a clinical‑stage pharmaceutical company focused on sleep‑related breathing diseases, announced that it priced its initial public offering at $16 per share. The company offered 12 million shares of common stock, which it expects will generate $192 million in gross proceeds before deducting underwriting discounts, commissions and offering expenses, assuming no exercise of the underwriters’ option.

The underwriting syndicate, comprising BofA Securities, Evercore ISI, Cantor and LifeSci Capital, received a 30‑day option to purchase an additional 1.8 million shares at the IPO price of $16 per share, which could increase the total proceeds if exercised. The offering is slated to close on or about August 3, 2026, subject to customary closing conditions.

Apnimed’s common stock is scheduled to commence trading on the Nasdaq Global Select Market under the ticker symbol APMD on the day of pricing.

The company is developing AD109, an oral treatment for obstructive sleep apnea (OSA). AD109 has completed two Phase 3 clinical trials covering mild, moderate and severe OSA. The New Drug Application for AD109 has been filed with the U.S. Food and Drug Administration and assigned a PDUFA target date of February 28, 2027.

Registration statements related to the offering were filed with the U.S. Securities and Exchange Commission and became effective on July 30, 2026.
