Dividend Declaration

  • The Board of Directors recommended a Final Dividend of ₹2.00 per Equity Share of ₹2 each for the Financial Year ended March 31, 2026.
  • Dividend payment is subject to approval by shareholders at the ensuing Annual General Meeting.
  • The record date for determining entitlement is Tuesday, September 22, 2026.

Tax Deduction at Source (TDS) Procedures

Resident Individual Shareholders

  • TDS rate of 10% applies to shareholders with valid PAN registered with DP/RTA.
  • TDS rate of 20% applies if no valid PAN, PAN not registered, or PAN not linked with Aadhar.
  • No TDS if total dividend during FY 2026-27 does not exceed ₹10,000 (PAN clubbed).
  • No TDS if shareholder provides duly filled Form 12I with self-attested PAN copy.

Resident Non-Individual Shareholders

  • Mutual Funds: Must provide self-declaration under Section 393(5) of IT Act, confirming status as per Schedule VII (Sr. No. 20 or 21) of Section 11, with self-attested PAN and SEBI Registration Certificate.
  • Insurance Companies: Must provide self-declaration under Section 393(4) of IT Act, confirming status as per Section 2(7A) of Insurance Act, 1938, with self-attested PAN and IRDAI/LIC/GIC registration certificate.
  • AIF: Must provide self-declaration under Section 393(4) (Table Sr. No. 10) read with Notification No. 51/2015, confirming exemption under Section 11 and Schedule V (Sr. No. 1), with self-attested PAN and SEBI AIF certificate.
  • Provident/Superannuation/Gratuity Funds: Must provide self-attested PAN and valid approval order per CBDT Circular 18/2017.
  • NPS Trust: Must provide self-declaration under Section 393(9), confirming exemption under Section 11 and Schedule VII (Sr. No. 41), with self-attested PAN.
  • Government (Central/State): No TDS required under Section 393(5).
  • IFSC Units: Must provide self-attested PAN and self-declaration in Form 1 per Notification No. 28/2024.
  • Other Non-Individual Residents: Must provide valid self-attested documentary evidence for exemption along with self-attested PAN.

Non-Resident Shareholders

  • Default TDS rate is 20% (plus surcharge and cess) under Section 393(2) of IT Act.
  • Option to claim beneficial rates under DTAA if eligible.
  • Required documents: Tax Residency Certificate (TRC) for April 1, 2026, to March 31, 2027; Form 41 (filed electronically); self-attested PAN copy; self-declaration of DTAA eligibility and beneficial ownership; SEBI registration certificate for FIIs/FPIs.
  • Company is not obligated to apply DTAA rates and will depend on document review.

General TDS Provisions

  • For shareholders with multiple accounts under different statuses but single PAN, the higher applicable tax rate will apply to the entire holding.
  • If dividend is assessable in hands of person other than registered shareholder, a declaration per Rule 203 of Income Tax Rules 2026 must be submitted by September 22, 2026.
  • All tax exemption forms and supporting documents must be submitted via RTA portal (https://web.in.mpms.mufg.com/formsreg/submission-of-Form-121-41.html) or email (cosec@ashapura.com) by September 22, 2026.
  • TDS will be deducted at higher rates if documents are incomplete, absent, or discrepant.
  • Shareholders are responsible for any tax demands due to misrepresentation.
  • TDS credit can be viewed in Form 16B via TRACES or Income Tax e-filing portal.

Shareholder Updates Required

  • Shareholders must ensure PAN, residential status for FY 2026-27, category, email ID, full bank account details (IFSC, MICR), and postal address are updated in demat accounts with DP before September 22, 2026.
  • Bank account details must be updated for direct credit of dividend.
