Nature of Disclosure: Regulatory intimation regarding extension of expected completion dates for the sale of stake in six remaining Special Purpose Vehicles (SPVs) to Epic Concesiones 2 Private Limited and Infrastructure Yield Trust schemes.

Background: This announcement is in continuation to previous announcements made on December 31, 2024, September 30, 2025, and April 01, 2026. The original transaction involved Share Purchase Agreements and other transaction documents for sale of entire share capital (including repayment of any shareholder loans) and management control of 11 SPVs held by Ashoka Buildcon Limited and/or its material unlisted subsidiary Ashoka Concessions Limited (ACL).

Current Status: The sale of stake in SPVs 1 through 5 from the original list has been completed as per previous announcements. This communication specifically addresses the six remaining SPVs:

  • Ashoka Karadi Banwara Road Private Limited (TS-1)
  • Ashoka Mallasandra Karadi Road Private Limited (TS-2)
  • Ashoka Banwara Bettadahalli Road Private Limited (TS-3)
  • Ashoka Baswantpur Singnodi Road Private Limited (BS)
  • Ashoka Belgaum Khanapur Road Private Limited (BK)
  • Ashoka Bettadahalli Shivamogga Road Private Limited (TS-4)

Extension Details: The indicative/expected date of completion for the remaining six SPVs has been extended as follows:

  • For SPVs where major construction works are complete (TS-1, TS-2 & TS-3): Extended up to July 31, 2026
  • For BS SPV: Extended up to September 30, 2026
  • Other SPVs (BK and TS-4): Will follow thereafter in accordance with their respective Transaction Documents

Conditions: The final completion of the transaction for each SPV remains subject to:

  • Fulfilment of conditions precedent
  • Completion of other terms and conditions in accordance with their respective transaction documents
  • Necessary regulatory approvals
  • Lender approvals

Transaction Structure: The sale involves Epic Concesiones 2 Private Limited, Infrastructure Yield Plus II, and Infrastructure Yield Plus IIA (both schemes of Infrastructure Yield Trust and managed by their respective investment manager, EAAA India Alternatives Limited, formerly known as Edelweiss Alternative Asset Advisors Limited).
