The Board of Directors, through a circular resolution passed on August 31, 2026, approved the appointment of Ms. Amrita Verma Chowdhury (DIN: 02178520) as an Additional Director in the capacity of Non-Executive, Independent Woman Director of the Company.

The appointment is for a period of 5 consecutive years with effect from August 31, 2026 to August 30, 2031. This appointment is based on the recommendation of the Nomination and Remuneration Committee of the Company and is subject to the approval of the shareholders of the Company. Ms. Amrita Verma Chowdhury is a technology entrepreneur, global business leader and experienced independent director with three decades of experience across technology, strategy consulting, business transformation, infrastructure, consumer industries and public sector digital platforms.

She currently serves as an Independent Director on the boards of ZF Commercial Vehicle Solutions, Mahindra Lifespace Developers and Nesco, and chairs board committees covering nomination and remuneration, stakeholder relationships and risk management, in addition to serving on audit and CSR committees.

Her professional background includes:

  • Beginning as a semiconductor engineer at Applied Materials, where she contributed to semiconductor manufacturing innovation and became a co-inventor on seven US patents
