Meeting Details

The 18th Annual General Meeting was held on Monday, 28 September 2026, at 11:30 A.M. (IST) through Video Conferencing / Other Audio-Visual Means. The deemed venue of the meeting was the Registered Office at No. 7-1-450/20, Plot No. 04 Mythri Vihar, Sanjeev Reddy Nagar, Ameerpet, Hyderabad, Telangana 500038, India. A total of 83 members were present at the AGM.

Proposed Resolutions

The following five resolutions were proposed for shareholder approval:

1. Ordinary Business: To receive, consider and adopt the Audited Financial Statements (Standalone and Consolidated) of the Company for the financial year ended 31 March 2026, together with the Reports of the Board of Directors and the Auditors thereon (Ordinary Resolution)

2. Ordinary Business: To appoint a director in place of Mr. T J Wilson (DIN: 02135108), who retires by rotation and being eligible, offers himself for re-appointment (Ordinary Resolution)

3. Special Business: Ratification of Remuneration of the Cost Auditors of the Company for the financial year ending 31 March 2027 (Ordinary Resolution)

4. Special Business: To increase the limits of the Company under Section 185 of the Companies Act, 2013 (Special Resolution)

5. Special Business: To increase the limits of the Company under Section 186 of the Companies Act, 2013 (Special Resolution)

Voting Process and Methods

The Company provided remote e-Voting facility to members to exercise their votes electronically from Friday, 25 September 2026 (9:00 A.M. IST) to Sunday, 27 September 2026 (5:00 P.M. IST) on all five resolutions. Members who participated through the VC/OAVM facility and had not cast their votes using remote e-Voting were provided facility to e-Vote on the NSDL portal during the AGM, which remained open for thirty minutes after the conclusion of the AGM proceedings.

Key Voting Outcomes

The document states that the results of remote e-Voting and e-Voting during the AGM will be submitted to the stock exchanges separately in the format prescribed under Regulation 44 of the SEBI Listing Regulations. The Scrutinizers' report on the e-voting would be made available on the Company's website and disseminated to the Stock Exchanges.

Management Presentation and Q&A Session

Management including Ms. Alisha Moopen, Mr. Varun Khanna, Mr. T J Wilson, and Mr. Sunil Kumar M R addressed members covering operational, financial, strategic, ESG and CSR highlights of the Company during FY 2025-26. The Auditor's Report did not contain any qualifications, observations, or comments that had an adverse effect on the functioning of the Company. A question-and-answer session was conducted where registered speaker shareholders expressed views and raised queries, which were responded to thematically by relevant members of the Board and Management.

Compliance with Laws and Regulations

The meeting was conducted in accordance with circulars issued by the Ministry of Corporate Affairs (MCA) and Securities Exchange Board of India (SEBI). Statutory registers and other relevant documents referred to in the Notice were available for inspection by Members during the AGM. The meeting concluded at 01:26 P.M. (IST).
