Aster DM Quality Care Board Composition Changes

Ms. Purana Housdurgam Vijayadeepti (DIN: 08125456) retired as Non-Executive Independent Director effective from the conclusion of the 18th Annual General Meeting held on 28 September 2026.
Retirement was consequent upon completion of her term as Non-Executive Independent Director.
Consequent upon her retirement, she ceased to be:
Chairperson of the Risk Management Committee
Chairperson of the Technology Steering Committee
Member of the Nomination and Remuneration Committee
Member of the Corporate Social Responsibility Committee

Ms. Neela Bhattacherjee (DIN: 01912483) appointed as Additional Director in the category of Non-Executive Independent Director effective from 28 September 2026.
Appointment was based on the recommendation of the Nomination and Remuneration Committee.
Subject to approval of shareholders by way of a Special Resolution, she shall hold office as Independent Director for a term of three consecutive years.
She shall not be liable to retire by rotation.

Ms. Neela Bhattacherjee has over 32 years of post-qualification experience across:
Business strategy
Mergers and acquisitions
Sales and marketing
Product development in the global information technology and services industry
She is associated with the Indian Angel Network and Talent Nomics
She is engaged in mentoring women professionals in the corporate sector

Mr. Neeraj Jain, Independent Director, inducted as Chairman of the Risk Management Committee
Ms. Neela Bhattacherjee, Independent Director, inducted as Member of the Nomination and Remuneration Committee
Mr. Sunil Theckath Vasudevan, Independent Director, inducted as Member of Corporate Social Responsibility Committee

Ms. Neela Bhattacherjee is not related to any Director of the Company
She is not debarred from holding the office of director by virtue of any order passed by SEBI or any other regulatory authority
