The 49th Annual General Meeting of Atul Ltd will be held on Friday, July 31, 2026, at 10:30 am through video conferencing | other audiovisual means (VC) in accordance with MCA circulars 20/2020 and 03/2025 and SEBI circular CIR/P/2020/79. The meeting is deemed to be held at the registered office: Atul House, G I Patel Marg, Ahmedabad 380 014, Gujarat, India. Physical attendance is dispensed with; members must attend via VC.
Business to be Transacted
Ordinary Business
1. To receive, consider and adopt:
- The audited Standalone Financial Statements for the financial year ended March 31, 2026, along with Reports of the Directors and Auditors.
- The audited Consolidated Financial Statements for the financial year ended March 31, 2026, along with Report of the Auditors.
2. To declare dividend on equity shares.
3. To appoint a Director in place of Mr Vivek Gadre (DIN: 08906935) who retires by rotation and, being eligible, offers himself for reappointment.
Special Business
4. SPECIAL RESOLUTION: To reappoint Mr Samveg Lalbhai (DIN: 00009278) as Managing Director for a period of five years with effect from December 15, 2026 to December 14, 2031, and to approve payment of remuneration (including minimum remuneration) as per draft agreement, pursuant to Sections 196, 197, 203 and Schedule V of Companies Act, 2013.
5. ORDINARY RESOLUTION: To ratify remuneration of ₹4.10 lakh plus applicable taxes and reimbursement of actual travel and out-of-pocket expenses to R Nanabhoy & Co, Cost Accountants (FRN: 000010), for conducting cost audit of applicable products in the category of Bulk Drugs, Chemicals, Insecticides, Inorganic Chemicals, Organic Chemicals and their derivatives, and Polymers for FY ending March 31, 2027.
Key Dates and Logistics
- Register of Members and Share Transfer Books will remain closed from July 18, 2026 to July 24, 2026 (both days inclusive).
- Dividend, if approved, will be paid to members whose names stand on the Register of Members on July 17, 2026.
- Remote e-voting period commences on July 28, 2026 (9:00 am) and ends on July 30, 2026 (5:00 pm). Cut-off date for voting rights is July 24, 2026.
- Members can also vote during the AGM via VC if they haven't voted remotely.
Dividend and TDS Provisions
- Dividend paid will be taxable in hands of members per Income Tax Act, 2025. Company will deduct TDS.
- For resident members: TDS at 10% under Section 393(1) if PAN registered. Higher rate under Section 397(2) if PAN not registered. No TDS if total dividend during FY 2026-27 does not exceed ₹10,000 for resident individuals. No TDS if member provides Form 121 and eligibility conditions met.
- For non-resident members: Withholding tax at 20% (plus surcharge and cess) under Section 393(2). Option to be governed by beneficial DTAA rates if documents provided (TRC, Form 41, PAN, self-declaration). Company not obligated to apply DTAA rates; depends on document completeness and review.
- TDS certificates will be emailed to members at registered email addresses.
Unpaid Dividend and IEPF Transfer
Unpaid dividends from FY2019 onwards will be transferred to Investor Education and Protection Fund (IEPF) on expected dates:
- 31st dividend (FY2019, 150%): Transfer by July 30, 2026
- 32nd special interim (FY2020, 125%): Transfer by October 24, 2026
- 33rd interim (FY2020, 150%): Transfer by March 10, 2027
- 34th (FY2021, 200%): Transfer by July 29, 2028
- 35th (FY2022, 250%): Transfer by July 28, 2029
- 36th special interim (FY2023, 75%): Transfer by October 20, 2029
- 37th (FY2023, 250%): Transfer by July 27, 2030
- 38th (FY2024, 200%): Transfer by July 25, 2031
- 39th (FY2025, 250%): Transfer by July 24, 2032
Equity shares with unclaimed dividends for seven or more consecutive years have been transferred to IEPF during FY2025-26.

Remuneration Details for Mr Samveg Lalbhai (Item 4)
- Basic salary: ₹6,69,799 per month (may be increased up to maximum ₹12,00,000 per month)
- Perquisites: Residential accommodation or HRA, furniture, medical reimbursement, leave travel assistance, group accident insurance (sum assured ₹25 cr), car with driver wages/fuel/maintenance, communication devices
- Retirals: PF and superannuation fund contributions (within IT Act limits), gratuity, leave (1 month for every 11 months service)
- Commission: 0.50% of net profits (not exceeding 30 months of basic salary)
