The 13th Annual General Meeting was held on Friday, September 18, 2026, at 2:00 P.M. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The meeting commenced at 2:00 p.m. and concluded at 4:00 p.m. (IST), including time allowed for voting during the meeting.
Proceedings Overview
Mr. Ashish Deora, Non-Executive Chairman of the Company, chaired the Meeting. Ms. Pranali Desale, Company Secretary & Compliance Officer, confirmed that the AGM was conducted in compliance with Ministry of Corporate Affairs circulars, Companies Act, 2013, and SEBI LODR Regulations, 2015.
Representatives from M/s. Kirtane & Pandit LLP, Chartered Accountants (Statutory Auditors), and Mr. Ainesh Kumar Jethwa, Secretarial Auditor, were present. Mr. Ainesh Kumar Jethwa (ICSI Membership No. ACS 27990, Certificate of Practice No. 19650) was appointed as Scrutinizer to scrutinize the voting through electronic means.
Mr. Ashish Deora addressed shareholders, followed by Mr. Onkar Shetye, Executive Whole-Time Director, and Mr. Kunal Karan, Chief Financial Officer, who provided an overview of the Company's operations and financial performance.
Voting Process
The remote e-voting process was conducted through NSDL E-voting platform from Monday, September 14, 2026, at 9:00 A.M. (IST) to Thursday, September 17, 2026, at 5:00 P.M. (IST). Facility for voting through electronic voting system was also made available during the meeting for members who had not cast their vote prior to the meeting, until 30 minutes post conclusion of the AGM.
Resolutions Transacted
Ordinary Business:
- 1. Adoption of Audited Financial Statements (Consolidated & Standalone) for the financial year ended 31st March 2026, together with Reports of Board of Directors and Auditors
- 2. Appointment of Mr. Onkar Shetye (DIN: 06372831), Executive Whole-time Director, who retires by rotation
Special Business:
- 3. Approval of payment of remuneration to Non-Executive Directors in case of absence or inadequacy of profits
- 4. Approval of variation in the objects of the Rights Issue
- 5. Approval of Material Related Party Transactions of the Company
Voting Outcomes
All five resolutions set out in the Notice were passed with requisite majority through combined remote e-voting and voting at the meeting through electronic voting system.
Compliance and Additional Information
The Company confirmed it made all feasible efforts to enable members to participate through video conference and vote at the AGM. The voting results will be separately intimated to stock exchanges and uploaded on the company website and NSDL website. This document does not constitute the minutes of the proceedings of the Meeting.
