AGM Details

The Thirty-Sixth Annual General Meeting will be held on Thursday, July 30, 2026 at 11:00 A.M. through Video Conferencing/Other Audio Visual Means.

1. Adoption of Financial Statements: To receive, consider and adopt the audited standalone financial statements of the Company for the financial year ended March 31, 2026 together with reports of the Board of Directors and Auditors.

2. Director Appointment: To appoint a director in place of Mr. Arvind Goel (DIN: 02300813) who retires by rotation and being eligible, offers himself for re-appointment.

3. Ratification of Cost Auditor Remuneration - FY 2025-26

• Ordinary Resolution to ratify payment of remuneration of ₹75,000/- plus applicable taxes and reimbursement of out-of-pocket expenses

• Basic Salary: Scale of ₹90,000 to ₹3,00,000 per month (current: ₹1,21,791 per month)
• Incentive Remuneration: Base ₹11,01,819 p.a., can go up to 150% of base amount
• Perquisites and allowances subject to maximum of 430% of annual basic salary

16. Revision in Remuneration of CEO Suhas Dode

• Special Resolution to revise remuneration terms effective from April 01, 2026 till April 30, 2028
• Basic Salary: Scale of ₹90,000 to ₹3,00,000 per month (current: ₹1,27,881 per month from April 01, 2026)
• Incentive Remuneration: Base ₹11,50,925 p.a., can go up to 150% of base amount
• Revised allowances effective from May 01, 2026 due to car lease policy: Driver Allowance ₹10,000 pm, Conveyance Allowance ₹71,127 pm, Fuel Reimbursement ₹12,500 pm, Personal Pay ₹2,18,630 pm, Car Lease ₹61,009 pm, Insurance and Maintenance Reimbursement ₹10,204 pm
