Bajaj Hindusthan Sugar Limited disclosed the outcome of its Annual General Meeting (AGM) held on August 27, 2026, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The meeting commenced at 11:00 A.M. and concluded at 01:15 P.M.

Based on the recommendation of the Nomination and Remuneration Committee, shareholders approved the appointment of three directors:

1. Mr. Nand Lal Kalra (DIN: 05268554) as an Independent Director for a term of five consecutive years commencing from August 28, 2026 up to August 27, 2031.

2. Mr. Sanoj Kumar Potdar (DIN: 11760195) as a Non-Executive, Nominee Director (representing Punjab National Bank) with effect from August 28, 2026. He is liable to retire by rotation.

He served for three years at PNB International Limited, London. Currently Deputy General Manager with Punjab National Bank, HO Treasury Division, Mumbai. He holds a bachelor's degree in science, is a Certified Associate of the Indian Institute of Bankers (CAIIB), has NSE Academy Certification in Financial Markets, and is a qualified Financial Risk Manager (FRM) from GARP, USA.

With over 43 years of professional experience, he has worked as a Senior Management Executive with large corporate groups for over 7 years, handling business development, corporate affairs, and liaising at higher bureaucratic/corporate levels. Previously worked for over 26 years with Central Government Preventive & Investigative Departments under Ministry of Finance and was associated with Essar Services India Limited. He holds a Master of Arts in Personnel Management & Industrial Relations, Doctor of Social Work, and Diploma in Human Resource Management.
