Balmer Lawrie & Co. Ltd. held its 109th Annual General Meeting (AGM) on Monday, 21st September 2026 at Williamson Magor Hall, 1st Floor, The Bengal Chamber of Commerce & Industry, Royal Exchange Building, 6, Netaji Subhas Road, Kolkata - 700 001. The meeting commenced at 11:30 a.m. IST and concluded at 01:37 p.m. IST.

Shri Adhip Nath Palchaudhuri, Chairman & Managing Director, chaired the meeting. The Company Secretary and Compliance Officer, Kavita Bhavsar, confirmed that requisite quorum was present. Statutory Registers and documents referred to in the AGM notice were available for inspection during the meeting.

The Chairman briefed members about the company's financial performance for the financial year ended 31st March 2026, future outlook, corporate governance compliance, and corporate social responsibility initiatives.

Seven resolutions were placed before members for approval:

Ordinary Business:

1. Adoption of Audited Financial Statements (both Standalone and Consolidated) for FY2025-26 together with Reports of Board of Directors and Auditors, and Comments of Comptroller and Auditor General of India

2. Declaration of final dividend for FY2025-26

3. Re-appointment of Shri Abhijit Ghosh (DIN: 10042785) as Director retiring by rotation

4. Fixation of remuneration of Statutory Auditors (including Branch Auditors) for FY2026-27

Special Business:

5. Appointment of Shri Aditya Shekhar Singh (DIN: 11606166) as Government Nominee Director and fixation of terms of appointment

6. Appointment of Adv. Dominic Tadar (DIN: 11186826) as Non-Executive Independent Director and fixation of terms of appointment

7. Appointment of CA Vivek Mittal (DIN: 07616604) as Non-Executive Independent Director and fixation of terms of appointment

The company offered e-voting facility including remote e-voting which commenced on Thursday, 17th September 2026 at 09:00 A.M. and concluded on Sunday, 20th September 2026 at 05:00 P.M. Shri Navin Kothari, Proprietor of M/s. N. K & Associates, Company Secretaries, was appointed as Scrutinizer for vote scrutiny.

In response to shareholder queries, the Chairman stated that subject to requisite approvals of concerned ministries, statutory authorities, and other authorities, the company may consider incorporating a Wholly Owned Subsidiary (WoS) and transferring the Travel and Vacations business to the said WoS.

The meeting was conducted in compliance with the Companies Act, 2013, SEBI Listing Regulations, and Secretarial Standards on General Meetings (SS-2) issued by ICSI.
