Banswara Syntex Limited has intimated the stock exchanges regarding the appointment and re-appointment of directors approved by shareholders at the 50th Annual General Meeting held on 30th July, 2026.

The shareholders approved the following director appointments with requisite majority:

  • Re-appointment of Mr. Rakesh Mehra (DIN: 00467321) as Chairman and Whole-Time Director for a period of 3 years from 1st January, 2027 to 31st December, 2029
  • Re-appointment of Mr. Ravindrakumar Toshniwal (DIN: 00106789) as Vice-Chairman and Whole-Time Director for a period of 3 years from 1st January, 2027 to 31st December, 2029
  • Re-appointment of Mr. Shaleen Toshniwal (DIN: 00246432) as Managing Director for a period of 3 years from 1st January, 2027 to 31st December, 2029
  • Appointment of Mr. Udeypaul Singh Gill (DIN: 00004340) as Non-Executive Independent Director for a first term of 5 consecutive years from 20th May, 2026 to 19th May, 2031

The resolutions are deemed to have been passed on 30th July, 2026, being the date of the Annual General Meeting.

Mr. Rakesh Mehra (Age 68): Chartered Accountant with more than 39 years of experience in the Textile Industry. Responsible for entire commercial and financial activities. Has served as Chairman of Synthetic & Rayon Textiles Export Promotion Council (SRTEPC) for two terms and as Chairman of Confederation of Indian Textile Industry (CITI). Currently Chairman of CITI-CIDRA standing committee on Cotton.

Mr. Ravindrakumar Toshniwal (Age 62): B.Tech (Chem.) from IIT Mumbai, completed OPM course from Harvard University, USA. Has over 38 years' experience in textile industry. Involved in strategic decision making, business plans, and stakeholder management. Responsible for Fabric Business and new product developments.

Mr. Shaleen Toshniwal (Age 49): Bachelor in Business Management from Bentley College, USA with over 22 years' experience in textile industry. Responsible for Power Plant Operation and HR Strategy of the Company. Currently Chairman of Manmade and Technical Textiles Export Promotion Council (MATEXIL).

Mr. Udeypaul Singh Gill: Board-level business leader with over four decades of experience as executive and strategist. Expertise in building new businesses, driving leadership development, and championing sustainability initiatives. Has worked across synthetic fibers, chemicals, fertilizers, banking, textiles, and management consulting. Currently Partner at Gherzi Consulting Zurich and board member of International Textile Manufacturers Federation, Vardhman Textiles Limited, and Biotexfuture Germany. Holds MBA from PAU, Ludhiana and B.Sc (Honours) in Economics. Recipient of "Lifetime Achievement Award" from CIRFS and WFC Dornbirn, and "Manager of the Year Award" from Northern India Management Association.
