Meeting Details
The 50th Annual General Meeting was held on Friday, September 25, 2026 at 3:00 PM IST through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The meeting was attended by 200 shareholders. Maj. Gen. Parampal Singh Bal (Independent Director) chaired the meeting.

Board members present included Mr. Rajinder Mittal (Managing Director), Mr. Kushal Mittal (Managing Director), Mr. Sat Narain Goyal (Whole Time Director), Mrs. Neerja Jain (Independent Director), and Mr. Kahan Singh Pannu (Independent Director). Resolutions Considered
The following seven resolutions were transacted at the meeting:
Ordinary Business:
1. Adoption of Audited Consolidated and Standalone Financial Statements for financial year ended March 31, 2026 together with Reports of Auditors and Board of Directors
2. Declaration of dividend of 35 paisa (Thirty-Five paisa only) per equity share on fully paid-up share capital for Financial Year 2025-26
3. Re-appointment of Mr. Sat Narain Goyal, Whole Time Director, who retires by rotation
4. Approval of remuneration payable to Cost Auditors
5. Re-appointment of Mr. Parampal Singh Bal as an Independent Director
6. Approval for borrowing monies under Section 180 of Companies Act, 2013
7. Approval for creation of Charge/Mortgage on Assets of the Company in respect of Borrowings
Voting Process
The Company provided remote e-voting facility to members for all resolutions proposed at the AGM. Facility for e-voting during the meeting was also made available for members who had not cast their vote through remote e-voting. M/s S. Parnami & Associates, Practicing Company Secretaries acting through CS Sourabh Parnami, served as Scrutinizer for both remote e-voting and e-voting at AGM.
Voting Results Announcement
The e-voting results along with consolidated report were to be informed to stock exchanges (NSE/BSE) and placed on the company website (https://www.bcl.ind.in) and the website of MUFG Intime Private Limited (https://in.mpms.mufg.com), as well as the notice board of the registered office and corporate office. Results were to be announced within two working days post-meeting.
Financial and Operational Highlights from Management Speeches
Financial Performance FY26:
- Consolidated revenue from operations: ₹2,904 crore
- Profit Before Tax: ₹167.24 crore
- Profit After Tax: ₹126 crore (23% YoY growth)
- Diluted EPS: ₹3.90
- EBITDA: ₹251 crore (18% growth)
- EBITDA margin: 8.6% (from 7.3% previous year)
Operational Highlights:
- Completed additional 150 KLPD grain-based distillery capacity at Bathinda facility
- Total installed grain-based distillery capacity now 900 KLPD
- FY26 production: 189,121 KL of ethanol and 52,832 KL of ENA
- Distillery segment revenue: ₹2,152 crore with segment EBIT of ₹223 crore
- Maize oil extraction and refinery segment revenue: ₹761 crore with EBIT of ₹28 crore
- Consumer business sold approximately 4.5 lakh cases in Q4 FY26 (20% YoY growth)
- Completed acquisition of remaining stake in Svaksha Distillery Limited (became wholly owned subsidiary effective July 1, 2026)
Strategic Initiatives:
- Installed additional 55-tonne paddy straw-fired boiler for renewable fuel
- Advancing proposed 20 MTPD Bio-CNG project utilizing 200 metric tonnes of paddy straw daily
- CSR expenditure of ₹4.733 crore, including ₹4.375 crore for Patient Shelter Home near AIIMS Bathinda

The meeting concluded at 4:15 PM IST, including time allowed for e-voting during AGM. The Scrutinizer took control of remote e-voting and e-voting at AGM post-meeting completion.
