The 41st Annual General Meeting of Belding India Limited is scheduled to be held on Wednesday, September 30, 2026 at 10:00 A.M. (IST) through Video Conferencing (VC)/Other Audio-Visual Means (OAVM). The Registered Office of the Company at 9th Floor, VB Capitol Building, Range Hill Road, Opp. Hotel Symphony, Bhoslenagar, Shivajinagar, Pune-411007, Maharashtra, India shall be deemed to be the venue for the AGM.

Ordinary Business Agenda

1. To receive, consider and adopt:

  • (a) The Audited Standalone Financial Statements of the Company for the Financial Year ended March 31, 2026 and the reports of the Board of Directors and Auditors thereon
  • (b) The Audited Consolidated Financial Statements of the Company for the Financial Year ended March 31, 2026 and the report of Auditors thereon

2. To approve re-appointment of Mr. Nikhil Dilipbhai Bhuta (DIN: 02111646) as a director who retires by rotation and offers himself for re-appointment.

Special Business Agenda

3. Appointment of Secretarial Auditor: To appoint M/s. Mishra & Associates (Firm Registration Number: S2017MH516400 - Peer Review Number: 2157/2022), Practicing Company Secretaries, as the Secretarial Auditors of the Company for a term of five consecutive Financial Years commencing from FY 2026–27 up to FY 2030–31. The proposed fees are ₹1,50,000/- per annum plus applicable taxes and other out-of-pocket expenses for FY 2025-26, with fees for subsequent years to be mutually agreed upon.

4. Shifting of Registered Office: To shift the Registered Office of the Company from 9th Floor, VB Capitol Building, Range Hill Road, Opp. Hotel Symphony, Bhoslenagar, Shivajinagar, Pune-411007, Maharashtra to "Sprint Tower, 6th Floor, Plot no. 9, Rajiv Gandhi Infotech Park, Hinjewadi Phase-I, Pune - 411057, Maharashtra". The new location is outside the local limits of the existing city but within the State of Maharashtra and under the jurisdiction of the Registrar of Companies, Pune.

Voting Arrangements

  • Remote e-voting period: Sunday, September 27, 2026 at 9:00 A.M. (IST) to Tuesday, September 29, 2026 at 5:00 P.M. (IST)
  • Cut-off date for determining voting rights: Wednesday, September 23, 2026
  • Voting rights are proportional to shares in the paid-up equity share capital as at the close of business hours on the cut-off date
  • The Company has engaged Purva Sharegistry India Pvt. Ltd as the Authorized Agency for e-voting facilities
  • M/s. Sachapara & Associates, Practicing Company Secretary represented by Mr. Chirag Sachapara, appointed as Scrutinizer

The Notice of AGM and Annual Report is being sent electronically to members with registered email addresses. Physical letters with web-link access are being sent to members without registered email addresses as per Regulation 36(1)(b) of SEBI Listing Regulations.
