Benchmark Computer Solutions Limited has issued notice for its 23rd Annual General Meeting (AGM) scheduled to be held on Tuesday, 29th September, 2026 at 03:00 PM IST through Video Conferencing (VC)/Other Audio-Visual Means (OAVM). The meeting will be conducted in compliance with Regulation 30 and 34 of SEBI (LODR) Regulations, 2015.
Business to be Transacted
Ordinary Business:
1. To receive, consider and adopt the Audited Financial Statements of the Company for the Financial Year ended March 31, 2026 together with the Reports of the Board of Directors and the Auditors thereon.
2. To appoint Ms. Savita Hemant Sanil (DIN: 10192504), who retires by rotation and being eligible, offers herself for re-appointment as a Director of the company.
Meeting Logistics
The AGM will be held entirely through video conferencing/other audio-visual means without physical presence of members at a common venue, pursuant to MCA General Circulars (including latest Circular No. 03/2025 dated 22nd September, 2025) and SEBI Circulars (including latest Circular No. SEBI/HO/CFD/CFDPoD-2/P/CIR/2024/133 dated 7th October, 2024).
Voting Arrangements
The Company has engaged KFin Technologies Limited as the e-voting service provider. The remote e-voting period will commence at 09:00 AM IST on Saturday, 26th September, 2026 and end at 05:00 PM IST on Monday, 28th September, 2026. The cut-off date for determining member eligibility is Tuesday, 22nd September, 2026.

Share Register Closure
The Register of Members and Share Transfer Books will remain closed from Wednesday, 23rd September, 2026 to Tuesday, 29th September, 2026 (both days inclusive) for the AGM.
Scrutinizer Appointment
The Company has appointed M. K. Saraswat & Associates LLP, Mumbai as Scrutinizer to scrutinize the e-voting process. The scrutinizer will submit a consolidated report to the Chairman within two working days of the meeting conclusion.
