Ordinary Business
1. To receive, consider and adopt the Audited Standalone Financial Statements of the Company for the Financial Year ended March 31, 2026, together with the reports of the Board of Directors and Auditors thereon.
2. To re-appoint Mr. Sudhir Sethi (DIN: 00090172), who retires by rotation as a director. Mr. Sethi is 64 years old, holds B.Sc. and MA in Economics qualifications, has 44 years of experience, and was first appointed on December 12, 2000.
Special Business
3. Approval for increase in the limit of material related party transactions with M/s. Aminova Infusions Pvt. Ltd. from ₹5.00 crore to ₹8.00 crore during the unexpired period of the existing tenure.
- The original approval was granted at the Extra Ordinary General Meeting held on May 11, 2026, for a two-year tenure
- Mr. Shailendra Pathak, Whole-Time Director of Beryl Drugs Ltd., is the promoter and majority shareholder of Aminova Infusions Pvt. Ltd.
- Nature of transaction: Sale/supply/distribution of PP Bottles, FFS products and other approved products
- The increase of ₹3.00 crore is due to increased business requirements and expected increase in transaction volume
- Transactions will continue to be undertaken in ordinary course of business on arm's length basis
- The revised ₹8.00 crore limit represents the aggregate maximum value for the entire two-year tenure, not an additional limit
- Tenure remains unchanged: 2 years starting from January 3, 2026, ending January 2, 2028
- Pricing based on market rates, ex-factory
- Payment terms as per market standards
- Jurisdiction: Indore only
- Arbitration: Mr. Ritesh Jain as sole arbitrator under Arbitration and Conciliation Act, 1996
