Bharatam Ventures Limited held its 41st Annual General Meeting (AGM) on Wednesday, 16th September 2026. The meeting commenced at 12:00 PM and concluded at 12:45 PM at the company's registered office at Office No 1301, 13th Floor, Signature Business Park, Commercial Premises CHSL, Postal Colony, Chembur, Mumbai - 400071.

The meeting was conducted pursuant to Regulation 30(2) of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015. Remote e-voting facility was provided to all members entitled to cast their votes (persons who were members on the cutoff date of Wednesday, 9th September 2026) during the period from Sunday, 13th September 2026 at 09:00 AM till Tuesday, 15th September 2026 at 05:00 PM. Mr. Krishna Kumar, Proprietor of M/s. JK & Associates, Practising Company Secretaries, was appointed as the Scrutinizer for the meeting.

Ordinary Business

1. Approval of Accounts

The members considered and adopted the Audited Standalone and Consolidated Financial Statements comprising the Balance Sheet as at 31st March 2026, the Statement of Profit and Loss, and Cash Flow Statement for the year ended on that date, together with Reports of the Board of Directors and Auditors.

2. Appointment of Statutory Auditors

The members appointed M/s. N K Mittal & Associates, Chartered Accountants (Firm Registration No. 113281W), as Statutory Auditors of the Company for a first term of five consecutive financial years commencing from FY 2026-27 and ending with FY 2030-31. The auditors will hold office till the conclusion of the 45th Annual General Meeting to be held in 2031.

Special Business

3. Appointment of Mr. Ketan Ishwarlal Kataria (DIN: 01943753)

Mr. Ketan Ishwarlal Kataria was appointed as an Additional Director in the category of Promoter, Non-Executive Director by the Board of Directors with effect from 14th August 2026. Members approved his appointment as a Director liable to retire by rotation through a Special Resolution.

4. Appointment of Mr. Pravin Shantaram Thigale (DIN: 09182612)

Mr. Pravin Shantaram Thigale was appointed as an Additional Director in the category of Professional, Executive Director by the Board of Directors with effect from 14th August 2026. Members approved his appointment as a Director liable to retire by rotation through a Special Resolution.

5. Appointment of Mr. Rahul Chandratre (DIN: 02653975)

Mr. Rahul Chandratre was appointed as an Additional Director in the category of Non-Executive, Non-Independent Director by the Board of Directors with effect from 28th May 2026. The company had received a notice in writing under Section 160(1) of the Companies Act, 2013 from a member proposing his candidature. Members approved his appointment as a Director liable to retire by rotation through a Special Resolution.

6. Increase in Authorised Share Capital

Members approved increasing the Authorised Share Capital of the Company from the existing ₹50,00,000 divided into 5,00,000 Equity Shares of ₹10 each to ₹40,50,00,000 divided into 4,05,00,000 Equity Shares of ₹10 each. This represents an 8100% increase in authorized capital. The resolution included consequential alteration of Clause V of the Memorandum of Association and was passed as an Ordinary Resolution.

7. Alteration of Memorandum of Association

Members approved the alteration of Clause III(A) - Main Objects of the Memorandum of Association by inserting new sub-clause(s) to enable the company to carry on the business of manufacturing, processing, trading and dealing in agricultural, horticultural, plantation and agro-based commodities and products, including sugar and allied products. This was passed as a Special Resolution.

8. Alteration of Articles of Association

Members approved the alteration of the Articles of Association by inserting new Clause 8.1(D) enabling the Board to make further issue of securities in any manner, including by way of preferential offer or private placement, subject to and in accordance with the Companies Act, 2013 and applicable SEBI Regulations. This was passed as a Special Resolution.

9. Shifting of Registered Office

Members approved shifting the Registered Office of the Company from Mumbai to Office No. 503, Marisoft-1, Survey No. 15, Marigold Premises, Pune - 411014, falling within the jurisdiction of the Registrar of Companies, Pune. This shift is subject to confirmation of the Regional Director, Western Region, Mumbai, and was passed as a Special Resolution.

10. Issue of Convertible Warrants

Members approved the creation, offer, issue and allotment of up to 4,00,00,000 Convertible Warrants at an issue price of ₹10 per Warrant, aggregating up to ₹40,00,00,000 to the Promoter and Non-Promoter category on a preferential basis. This issuance will be in accordance with SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 and other applicable provisions, and was passed as a Special Resolution.

11. Material Related Party Transactions

Members approved material related party transactions for FY 2026-27 with related parties including Mr. Abhinath Manikrao Shinde, Vyenkatesh Goldcare Private Limited, Vyenkatesh Global Ventures Private Limited and Bharatam Finotech Private Limited. These transactions are in the ordinary course of business and on an arm's length basis, approved under Section 188 of the Companies Act, 2013 and Regulation 23 of SEBI LODR Regulations, through a Special Resolution.

Meeting Proceedings

The Chairman addressed members with an overview of the company's performance. The Managing Director read the Auditor's Report. No queries were raised by members during the query session.

The consolidated results of remote e-voting and poll conducted at the meeting, together with the Scrutinizer's Report, will be declared within two working days from the conclusion of the meeting and submitted to BSE Limited in terms of Regulation 44(3) of SEBI Listing Regulations. The results will be placed on the company's website (https://www.bharatamventures.com), on the notice board at the Registered Office, and on the e-voting agency's website (https://ivote.bigshareonline.com).

All resolutions, if approved by requisite majority, are deemed to have been passed on the date of the AGM (16th September 2026). The meeting concluded at 12:45 PM after completion of the poll.
