Purpose of Board Meeting
The Board of Directors will consider and approve the proposed Scheme of Merger/Amalgamation/Arrangement involving:
- Exicom Technologies India Private Limited (Transferor Company)
- Hind Simulation Training Private Limited (Transferor Company)
- Bharati Defence and Infrastructure Limited (Transferee Company)
The scheme is subject to such approvals as may be required under applicable laws. The Board may also consider such other matters as may be necessary and incidental to the proposed Scheme.
Trading Window Status
In view of the suspension, the trading window mechanism under the Company's Code of Conduct for Prevention of Insider Trading is currently not operative. However, as a matter of abundant caution and in the interest of good corporate governance, the trading window for dealing in the securities of the Company by the designated persons has been closed.
