The 43rd Annual General Meeting will be held on Tuesday, 29th September 2026 at 3.00 P.M. through Audio Video Visual Conferencing (AVCM).

Ordinary Business Agenda

1. Adoption of Financial Statements: To receive, consider, and adopt the Audited Standalone Financial Statements for the year ended March 31, 2026. This includes the Balance Sheet, Statement of Profit and Loss, Cash Flow Statement, explanatory notes, and the reports of the Board of Directors and Auditors.

2. Appointment of Director: To appoint a director in place of Mrs. Heeradevi Pacheriwala (DIN: 00433665), who retires by rotation pursuant to Section 152 of the Companies Act, 2013. She is eligible and offers herself for re-appointment.

3. Appointment of Statutory Auditors: To appoint M/s. Sunderlal Desai & Kanodia, Chartered Accountants, Mumbai (Registration No. 110560W) as the Statutory Auditors of the Company. They are proposed to hold office from the conclusion of this AGM until the conclusion of the 43rd AGM to be held in FY 2026-2027. Their remuneration will be fixed by the Board of Directors in consultation with them. This is pursuant to Section 139 of the Companies Act, 2013.

Special Business Agenda

4. Borrowing Limits (Special Resolution): To consider a special resolution pursuant to Section 180(1)(c) of the Companies Act, 2013. The resolution seeks member consent for the Board of Directors to borrow monies, which together with existing borrowings (excluding temporary loans from bankers), may exceed the aggregate of the company's paid-up capital and free reserves. The total outstanding amount borrowed shall not exceed ₹300 Crore (Rs. 3 Billion) at any time. The Board is authorized to settle the terms and conditions for such borrowings.

5. Creation of Charge/Mortgage (Special Resolution): To consider a special resolution pursuant to Section 180(1)(a) of the Companies Act, 2013. The resolution seeks member consent for the Board of Directors to mortgage and/or create a charge on all or any of the company's present and future assets (immovable, movable, receivables, securities, etc.) to secure any loans obtained from Banks, Financial Institutions, or any person. The total amount secured shall not exceed the limit approved under Section 180(1)(c) (i.e., ₹300 Crore).

6. Loans, Guarantees, and Investments (Special Resolution): To consider a special resolution pursuant to Section 186 of the Companies Act, 2013. The resolution seeks member consent for the Board of Directors to make loans, give guarantees, provide security, and acquire securities of any body corporate. The maximum amount for such activities shall not exceed ₹500 Crores (Rupees Five Hundred Crores only), even if it exceeds the limits of 60% of paid-up capital, free reserves, and securities premium account or 100% of free reserves and securities premium account, whichever is higher.

Record Date and E-Voting Instructions

The cut-off date (record date) for determining members eligible to vote is 20th September 2026.

The remote e-voting period begins on 26th September 2026 at 09:00 A.M. and ends on 28th September 2026 at 05:00 P.M.

Shareholders who have already voted via remote e-voting prior to the meeting will not be entitled to vote again at the meeting.

Virtual Meeting Attendance
