Credit Outlook Revision
S&P Global Ratings affirmed BJ's Wholesale Club Holdings Inc (NYSE:BJ) at a BB+ issuer rating and upgraded its credit outlook from stable to positive on 27 October 2026, signalling a possible investment‑grade upgrade within the next 12‑18 months.
Operating Performance
In the first half of fiscal 2026 the retailer reported revenue of $11.9 billion, a 12.9% increase year‑over‑year, while total comparable club sales grew 9.2%. Adjusted EBITDA margin fell 30 basis points to 7.0% as the company incurred targeted price reinvestments and store‑opening expenses.
Membership Engine
The high‑margin membership model contributed roughly 61% of total operating income in fiscal 2025. A renewal rate of 90% has been maintained despite price adjustments, and digital members now spend about twice as much as shoppers who only hold a club membership.
Geographic Expansion and Capital Projects
BJ's is shifting focus beyond its traditional East Coast base, where the New York metropolitan area represented 23% of net sales in fiscal 2025. The firm plans to open 25‑30 new locations across fiscal 2025 and 2026, including its first entry into Texas, directly challenging Costco Wholesale Corp. and Walmart‑owned Sam’s Club. Supporting the multi‑regional push, an automated distribution center in Ohio is slated to become operational in 2027.
Cash Flow and Capital Allocation
S&P projects free operating cash flow of $222 million for fiscal 2026, providing sufficient liquidity to self‑fund projected capital expenditures of $800 million and planned share repurchases of $550 million.
Leverage Profile and Outlook Conditions
The retailer’s net leverage stood at 0.5× in the second quarter, comfortably below the company‑set target of less than 1×. Adjusted debt‑to‑EBITDA is expected to remain in the low‑2× range. S&P notes that continued disciplined leverage could pave the way for a rating upgrade, whereas leverage rising above 2.5× could trigger a reversal of the outlook to stable.
