The board recommended:

1. Appointment of Mr. Rajat Kumar Jain (DIN: 00046053) as an Independent Director for a term of five years, effective from September 23, 2026, to September 22, 2031.

2. Appointment of Mr. Avijit Mukerji (DIN: 03534116) as an Independent Director for a term of five years, effective from September 23, 2026, to September 22, 2031.

Both appointments are subject to approval by shareholders at the ensuing Annual General Meeting. The directors will not be liable to retire by rotation.

Director Profiles and Details

Mr. Rajat Kumar Jain is a Gurgaon-based corporate leader turned startup enthusiast. He is on a social journey to create India's leading open architecture mentoring platform and accelerator for deserving startups to provide early-stage business support and capital. An alumnus of IIT Delhi and IIM Ahmedabad, he founded PadUp Ventures in 2015 with his partner Pankaj Thakar. PadUp has reviewed over 3,000 startups in 10 years, accepted over 300 into its mentoring programs, with over 160 graduating successfully. Over 130 have raised initial funding, and over 40 have raised follow-on funding. After a 30+ year corporate career in leadership roles, his current non-executive roles include:

  • Chairman of Fino Payments Bank Board
  • Independent Director on the boards of Vodafone Idea, Mahindra Holidays, and EMA Partners India
  • Trustee on the Board of Make a Wish Foundation (India) and Braj Foundation
  • Advisor to the E&H Foundation

His expertise includes distribution, sales, consumer understanding, mentoring, team building, and growing service and brand businesses. He has no inter-se relationship with other directors of Blue Dart and is not debarred from holding the office of director.

Mr. Avijit Mukerji is a Chartered Accountant with over three decades of experience in audit and assurance. He is a former senior partner of Price Waterhouse, a member firm of the PwC network in India (PwC India). He held several leadership roles within PwC India, including:

  • Member of the PwC India Board
  • Member of PwC India Leadership
  • Managing Partner of the Eastern Region
  • Member of India Assurance Leadership

He is currently the founder and managing partner of TatvaSutra Solutions LLP, a boutique investment and equity research firm. He also serves as an Independent Director on the boards of Bandhan Financial Holdings Limited, Balaji Telefilms Limited, and DIC India Limited. Other roles include:

  • Member of the Board of Governors of Welham Girl's School, Dehradun
  • Current President of The Bengal Club, Kolkata

He has extensive audit experience, leading audits of large listed companies, multinationals, and Indian promoter companies. As Transformation Leader at PwC, he was responsible for digital upskilling of 14,000 partners and staff. He secured AIR 12 in the ICAI Intermediate examination and AIR 21 in the Final examination. He is a past Chairman of CII West Bengal and was a member of the executive committees of AMCHAM eastern region and the Indian Chamber of Commerce. He has no inter-se relationship with other directors of Blue Dart and is not debarred from holding the office of director.
