Meeting Details

The 161st Annual General Meeting was held on Thursday, 13th August, 2026 through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The meeting commenced at 3:30 P.M. (IST) and concluded at 4:57 P.M. (IST), lasting 2 hours and 27 minutes.

Resolutions Proposed

The following four ordinary resolutions were proposed for shareholder approval:

1. To receive, consider and adopt:

  • a) the Audited Standalone Financial Statements for the Financial Year ended 31st March, 2026 together with reports of Board of Directors and Auditors
  • b) the Audited Consolidated Financial Statements for the Financial Year ended 31st March, 2026 together with Report of the Auditors

2. To appoint a Director in place of Dr. (Mrs.) Minnie Bodhanwala [DIN: 00422067], who retires by rotation under Section 152(6) of the Companies Act, 2013 and offers herself for re-appointment

3. To Appoint Branch Auditors

4. Ratification of remuneration payable to the Cost Auditors for the Financial Year ending 31st March, 2027

Voting Process and Methods

The Corporation provided remote e-voting facility through the National Securities Depository Limited (NSDL) portal from Monday, 10th August, 2026 (9:00 A.M. IST) to Wednesday, 12th August, 2026 (5:00 P.M. IST). Members attending the AGM through VC/OAVM who had not cast their votes through remote e-voting were also provided the facility to e-vote during the AGM.

Scrutinizer Appointment

The Corporation appointed M/s. Tushar Shridharani & Associates LLP, Practicing Company Secretaries (LLP IN: ACL 9350) as the Scrutinizer to scrutinize the e-voting process in a fair and transparent manner.

Voting Results Disclosure

The results of remote e-voting and e-voting during the AGM will be submitted to the stock exchanges separately in the format prescribed under Regulation 44 of the Listing Regulations. The announcement will be made within two working days and intimated to Stock Exchanges and uploaded on the websites of the Corporation and NSDL.

Attendance

All Directors, Chief Financial Officer of the Corporation, and representatives of the Statutory Auditors, Secretarial Auditors and Scrutinizers were present at the AGM. Mr. Nusli N Wadia, Chairman of the Corporation, chaired the meeting.

Additional Information

The Notice of the 161st AGM and Annual Report for Financial Year 2025-26 were sent by email to members with registered email addresses. Physical letters containing a web-link were sent to shareholders without registered email IDs. The Statutory Registers were available for inspection on the NSDL website. There were no qualifications in the Auditors' Report on Standalone and Consolidated Financial Statements.
