Quorum and Voting Process

The requisite quorum under Section 103 of the Companies Act, 2013 was present throughout the meeting. The company provided remote e-voting facility through MUFG Intime Private Limited, which commenced at 9:00 AM on Thursday, July 2, 2026 and ended at 5:00 PM on Monday, July 6, 2026. The cut-off date for remote e-voting was 30th June, 2026. Additional e-voting was provided during the AGM for members who had not cast votes through remote e-voting.

5. Revision in Remuneration payable to Non-Executive Directors by way of commission (Ordinary Resolution)

Scrutinizer Appointment

M/s. B Chandra & Associates, Practicing Company Secretaries, was appointed as scrutinizer to scrutinize votes cast through remote e-voting and during the meeting.

The Chairman declared quorum present and announced that statutory registers were available for electronic inspection. Since Auditors' Reports had no qualifications, they were not read. The Chairman provided a brief overview of company performance in FY 2025-26. Managing Director Mr. Anuj Kumar made a comprehensive presentation covering key highlights and financial performance.
