CapitalNumbers Infotech Limited has provided an update regarding its acquisition of Epitome Cloud Inc. This disclosure is made pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The company has paid USD 24,51,288.49 (equivalent to INR 23,40,00,000) towards the purchase of 100% shareholding from the existing shareholders of Epitome Cloud Inc. (referred to as "Sellers"). This payment represents a portion of the total purchase consideration of approximately INR 40 crore (Rupees Forty crore) as previously disclosed.
The remaining portion of the purchase consideration will be paid by the company to the Sellers in accordance with the terms of the Stock Purchase Agreement (SPA) that was executed between CapitalNumbers Infotech Limited and Epitome Cloud Inc.
The acquisition includes 100% ownership of Epitome Cloud Inc. and indirect acquisition of its Indian subsidiary, Epitomecloud Technology Private Limited.
This intimation serves as a continuation of previous communications dated July 3, 2026, and May 28, 2026, where additional details were submitted to the stock exchange as required under Regulation 30 read with Schedule III of the SEBI Listing Regulations and SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024.
