Carborundum Universal Limited held its 72nd Annual General Meeting (AGM) on Friday, 7th August 2026 at 03:00 p.m. through Video Conferencing (VC) or Other Audio Visual Means (OAVM). The meeting was chaired by Mr. M M Murugappan, Chairman of the company.

Meeting Conduct and Attendance

The meeting was conducted with the requisite quorum present. Other Directors, Company Secretary, Senior Management personnel, and Auditors participated in the meeting. Soft copies of the AGM notice and Annual Report for FY 2025-26 were sent electronically to members with registered email addresses, while physical copies were sent to those who specifically requested them.

Voting Process

Remote e-voting facility was provided until 6th August 2026, with electronic voting also available during the meeting for those who hadn't voted remotely. Mr. R Sridharan of M/s. R Sridharan and Associates, Practicing Company Secretary, was appointed as Scrutiniser to oversee the voting process.

Business Transacted

The following resolutions from the AGM notice dated 14th May 2026 were approved:

  • Adoption of Audited Standalone Financial Statements for year ended 31st March 2026 with Reports of Board of Directors and Auditors
  • Adoption of Audited Consolidated Financial Statements for year ended 31st March 2026 with Auditors' Report
  • Declaration of final dividend of ₹2.50 per equity share of Re. 1 each for 2025-26 and confirmation of interim dividend of ₹1.50 per equity share of Re. 1 each
  • Re-appointment of Mr. Muthiah Murugappan (DIN: 07858587) as Director retiring by rotation
  • Approval for payment of commission to Mr. M M Murugappan (DIN: 00170478), Chairman payable during FY 2026-27
  • Ratification of remuneration of ₹5,00,000 per annum (excluding applicable taxes and out-of-pocket expenses) payable to Cost Auditors M/s. S Mahadevan & Co., Cost Accountants for conducting cost audit for FY 2026-27

Auditor Reports

The Auditors' report on financial statements and Secretarial Audit Report for year ended 31st March 2026 contained no qualifications, observations, or comments on financial transactions that would adversely affect the company's functioning.
