Meeting Details
The 39th Annual General Meeting will be held on Tuesday, September 22, 2026 at 03:00 P.M. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) in accordance with circulars issued by the Ministry of Corporate Affairs (MCA) and SEBI. The deemed venue for the AGM is the registered office of the Company at A-702, Kanakia Wall Street, Andheri - Kurla Road, Andheri (East), Mumbai - 400 093.
Proposed Resolutions and Implications
Ordinary Business
1. To receive, consider and adopt: a) the audited standalone annual financial statements for FY 2025-26 with Reports of Board of Directors and Auditors; b) the audited consolidated annual financial statements for FY 2025-26 with Report of Auditors
2. To declare a dividend of ₹3/- per equity share of ₹2/- each for the financial year ended March 31, 2026
3. To appoint Mr. Anand Sharma (DIN: 00255426) who retires by rotation and offers himself for re-appointment
Special Business
4. To ratify remuneration of Cost Auditor M/s. S. S. Puranik & Associates (Firm Registration Number 100133) at ₹1,50,000 plus applicable taxes and out-of-pocket expenses for FY 2026-27
5. To revise remuneration of Ms. Rhea Parekh (daughter of Chairman & MD Mr. Chirag Parekh) as Senior Vice President (International Marketing) with effect from October 01, 2026, comprising fixed remuneration of ₹54 lakhs per annum and performance-linked incentive of ₹1.50 lakhs per quarter, with 10% annual increases in subsequent two years
Voting Process and Methods
The Company will utilize remote e-voting facilities provided by National Securities Depository Limited (NSDL). The remote e-voting period begins on Saturday, September 19, 2026 at 09:00 A.M. (IST) and ends on Monday, September 21, 2026 at 05:00 P.M. (IST). Members can also vote during the AGM through e-voting system.
Individual shareholders holding securities in demat mode can vote through their demat accounts with NSDL or CDSL. Physical shareholders and other members can vote through the NSDL e-voting website using their user IDs and passwords.
Key Voting Details
The cut-off date for determining voting rights is Tuesday, September 15, 2026. Voting rights shall be in proportion to the paid-up value of shares registered as on the cut-off date. Members who vote through remote e-voting cannot vote again at the AGM.
M/s. P. C. Shah & Co., Practicing Company Secretaries (Proprietor: Mr. Punit Shah, Certificate of Practice No. 7506) has been appointed as the Scrutiniser to scrutinise the remote e-voting process and e-voting at the AGM.
The Scrutiniser will submit a consolidated report of total votes cast for and against each resolution to the Chairman. Results will be announced within stipulated time and placed on the company website (www.carysil.com) and NSDL website (www.evoting.nsdl.com), and forwarded to BSE Limited and National Stock Exchange of India Limited.

Dividend Information
The Board has recommended a final dividend of 150% (₹3 per share of ₹2 each) for FY 2025-26. The Record Date for determining eligibility is Tuesday, September 15, 2026. If approved, dividend will be paid on or after September 22, 2026, subject to TDS deduction.
Book closure period: Wednesday, September 16, 2026 to Tuesday, September 22, 2026 (both days inclusive).
Dividend will be paid only through electronic means as per SEBI Master Circular dated February 6, 2026. TDS rates: 10% for residents with valid PAN, 20% for those without PAN, with exemptions for dividends below ₹10,000 annually. Non-resident shareholders subject to 20% withholding tax or DTAA rates.

Members can join the AGM via VC/OAVM 15 minutes before scheduled time, with facility available to at least 1,000 members on first-come-first-served basis (excluding large shareholders, promoters, institutional investors, directors and KMPs).
