Event Overview
The 28th Annual General Meeting of Cera Sanitaryware Limited was held on Thursday, 23rd July 2026 at 11:30 a.m. through Video Conferencing / Other Audio Visual Means (OAVM). The meeting was conducted in compliance with circulars issued by the Ministry of Corporate Affairs and Securities and Exchange Board of India.
Meeting Proceedings
Mr. Vikram Somany, Chairman, presided over the meeting which commenced at 11:30 a.m. The Company Secretary confirmed requisite quorum was present during the live streaming. Directors, Statutory Auditors, Secretarial Auditors, and Scrutinizer joined through VC facility. The CDSL portal for joining the AGM through Video Conference was open for Members.
Chairman's Presentation
Mr. Vikram Somany presented an overview of the Company's financial performance for FY 2025–26, highlighting:
- Growth in revenue
- Improvement in profitability
- Increase in net worth
- Margin expansion
The Chairman emphasized that Sanitaryware and Faucetware segments continued to be the Company's principal growth engines, supported by strong brand equity and an expanding dealers and distribution network. The Company maintained focus on innovation through development of new products and building a Strong Multi Brand Portfolio. The presentation covered consumer engagement initiatives and comprehensive advertising and brand-building campaigns to strengthen the CERA brand experience.
Documents and Reports
The notice of AGM and Directors' Report were taken as read, having been previously circulated to members. The Statutory Auditors' Report and Secretarial Auditors' Report did not contain any qualification or adverse remarks. Necessary statutory registers and documents were made available for inspection by members during the Meeting through online mode.
Voting Arrangements
The Company offered two voting alternatives: remote e-voting and e-voting at the AGM. Remote e-voting facility was provided for three days from 20th July, 2026 (9:00 a.m. IST) to 22nd July, 2026 (5:00 p.m. IST). Members who had not cast votes through remote e-voting and were attending through VC/OAVM facility were entitled to vote during the meeting.
Parikh Dave & Associates was appointed as Scrutinizer to issue a consolidated Scrutinizer report on votes cast within two working days of the conclusion of the AGM.
Resolutions Considered
Ordinary Business
1. To receive, consider and adopt the Audited Financial Statements of the Company for the year ended 31st March, 2026 including statement of Profit and Loss and Cashflow Statement for the year ended 31st March, 2026, Balance Sheet as at that date and the Directors' and Auditors' Reports thereon - Ordinary Resolution
2. To declare dividend on Equity shares for the FY 2025-26 - Ordinary Resolution
3. To appoint a director in place of Mrs. Deepshikha Khaitan (DIN: 03365068), who retires by rotation and being eligible, offers herself for re-appointment - Ordinary Resolution
Special Business
4. Ratification of remuneration payable to Cost Auditors for the FY 2026-27 - Ordinary Resolution
Shareholder Interaction
Shareholders who had registered as Speaker were given opportunity to express views, ask questions, and seek clarifications. The Chief Financial Officer responded to questions raised by shareholders during the meeting.
Results Announcement
The consolidated results of remote e-voting and e-voting at the AGM venue would be announced within 2 working days of the meeting conclusion. Results along with the Scrutinizer's Report would be intimated to the Stock Exchanges per Listing Regulations and placed on the Company's website and CDSL website.
