Meeting Details

The 32nd Annual General Meeting was held on Tuesday, 29th September 2026 at 4:00 PM through Video Conference (VC) or Other Audio-Visual Means (OAVM). The meeting was conducted remotely in compliance with MCA General Circular No. 03/2025 dated 22nd September 2025.

Proposed Resolutions and Implications

Two ordinary resolutions were proposed and passed:

Resolution 1: To receive, consider and adopt the Standalone and Consolidated Financial Statements of the Company including Audited Balance Sheet as at 31st March 2026, the Statement of Profit and Loss for the year ended on that date together with the Auditors' Report thereon and the Board's Report including Secretarial Audit Report.

Resolution 2: To appoint a Director in place of Mr. Jignesh Mehta Jaswantrai (DIN: 03079663), Non-Executive Director, who retires by rotation and being eligible, offers himself for re-appointment.

  • Remote e-voting: Conducted through CDSL from Friday, 25th September 2026 (9:00 AM IST) to Monday, 28th September 2026 (5:00 PM IST)
  • E-voting at AGM: Conducted during the meeting on Tuesday, 29th September 2026

The cut-off date for determining voting eligibility was Tuesday, 22nd September 2026. However, the company disclosed that it is in default of payment of fees to the Depositories and/or RTA, therefore the BENPOS was not made available for accurate shareholder data as of the cut-off date.

Scrutinizer's Role and Findings

Mr. Parameshwar G Bhat, Company Secretary in Whole-time Practice (FCS No. 8860, CP No. 11004), was appointed as Scrutinizer to ensure a fair and transparent voting process. His responsibilities included scrutinizing both remote e-voting and e-voting at the AGM. The scrutinizer confirmed that all resolutions were passed by requisite majority and that the voting records are under his safe custody for handover to the Chairman or Company Secretary.
