Restructuring Details
Aspergen Limited, India (a 60:40 joint venture between Cipla Limited and Kemwell Biopharma Private Limited) has acquired 100% stake in Aspergen Inc., USA from:
- Cipla (EU) Limited (wholly owned subsidiary of Cipla Limited) - 60% stake
- Kemwell Biopharma UK Limited - 40% stake
Consequently, Aspergen Inc., USA has become a wholly owned subsidiary of Aspergen Limited, India.
Economic Impact
There is no change in Cipla Limited's economic interest in Aspergen Inc., USA pursuant to this restructuring. Cipla maintains its 60% economic interest through its ownership in Aspergen Limited.

The restructuring has been undertaken with a view to rationalize and simplify the group structure.
