Key Quantitative Figures and Allotment Details

The SRC approved the allotment of a total of 2,830 equity shares of the face value of INR 1 each, fully paid up. This allotment comprises two components:

  • 1,415 equity shares were allotted pursuant to the exercise of vested stock options at an exercise price of INR 1 per option.
  • 1,415 bonus shares were allotted pursuant to a bonus issuance in the ratio of 1:1. This bonus issuance was approved by shareholders via a resolution dated 8 August 2025.

The allotment was made under the Clean Max Enviro Energy Solutions Limited Employee Stock Option Scheme 2015 (CMES ESOS), as amended.

Capital Structure Impact

Consequent to this allotment, the paid-up share capital of the Company has increased from INR 11,75,49,370 to INR 11,75,52,200.

Terms and Conditions

The equity shares allotted will rank pari-passu with the existing equity shares of the Company in all respects.

The scheme is in terms of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021.

Each stock option is convertible into one fully paid-up equity share of face value INR 1.

The equity shares allotted are not subject to any lock-in period.

No variation has been made to the terms of the options. However, a previous sub-division of equity shares from a face value of INR 10 to INR 1 (approved on 8 August 2025) resulted in a suitable adjustment to the option grantees' entitlements.

Financial Impact

The money realized by the exercise of the 1,415 options amounted to INR 1,415.

The company states that the diluted earnings per share (EPS) remain unaffected, as the quantity of shares allotted is negligible.
