The committee approved the allotment of a total of 3,240 equity shares of face value ₹1 each fully paid up. This comprises:

  • 1,620 equity shares pursuant to exercise of vested stock options at an exercise price of ₹1 per option
  • 1,620 bonus shares allotted pursuant to a bonus issuance in the ratio of 1:1

The bonus issuance was approved by shareholders through a resolution dated 8 August 2025 under the Clean Max Enviro Energy Solutions Limited Employee Stock Option Scheme 2015 as amended from time to time ("CMES ESOS") to eligible employees.

The equity shares allotted will rank pari-passu with the existing equity shares of the Company in all respects.

Capital Structure Impact

Consequent to the allotment, the paid-up share capital of the Company increased from ₹11,70,83,974 to ₹11,70,87,214.
