Clio Infotech seeks shareholder approval via postal ballot for a preferential issue of 2.17 crore warrants to Falcon Peak Fund at ₹10 per warrant, raising ₹21.75 crore.
The warrants are convertible into equity shares within 18 months, with 25% payment on allotment and 75% due on conversion.
The company also proposes to increase its lending/investment limit under Section 186 of the Companies Act to ₹100 crore.
E-voting is open from May 14 to June 12, 2026, with results to be declared by June 14, 2026.
