CMR Green Technologies Limited has intimated the stock exchanges about the reappointment of six directors following a board meeting held on Monday, 10th August 2026. The reappointments are for a five-year term effective from 11th August 2026, subject to approval by the company's shareholders.

Director Reappointments

Mr. Mohan Agarwal has been reappointed as Managing Director. He is the founder of the company and has been associated with CMR Group since inception. A commerce graduate from University of Delhi, he has over 40 years of experience in the aluminium alloys recycling industry. He serves as Chairman and Managing Director since 12th August 2021 and is also a director on the board of Material Recycling Association of India. He is responsible for providing strategic leadership and driving sustainable growth across business verticals.

Mr. Akshay Agarwal has been reappointed as Whole-Time Director. He holds a bachelor's degree in mechanical engineering (honours) from Birla Institute of Technology and Science, Pilani (Goa Campus) and has over 11 years of experience in aluminium alloys recycling. He serves as Business Head – UBC at Sambalpur, Odisha, overseeing business performance, profitability, and sustainability.

Mr. Raghav Agarwal has been reappointed as Whole-Time Director. He is an associate member of the Institute of Chartered Accountants of India with over 9 years of experience in aluminium alloys recycling. He serves as Business Head – CMR ECO Tirupati, leading strategic direction and operational management of the Tirupati business.

Mr. Balvinder Kumar has been reappointed as Independent Director. He holds a master's degree in philosophy in botany from University of Delhi and a master's degree in science (development and administration) from University of Birmingham. A retired Indian Administrative Service (IAS) officer with 36 years of experience, he has served in various ministries including Ministry of Agriculture and Ministry of Textiles. He is also an Independent Director on the boards of IFFCO Kisan SEZ Limited and CMR Aluminium Private Limited.

Mr. Gyan Mohan has been reappointed as Independent Director. He holds a bachelor's degree in arts (economics) from B.N College, Patna University and a diploma in financial services management from University of Bombay. He has over 3 years of experience in banking and operations, having previously worked with IDBI Capital Markets Services Limited, State Bank of India, and other financial institutions. He is associated with ADI Chitragupta Finance Limited as a Director.

Ms. Rashmi Verma has been reappointed as Independent Director. She holds a bachelor's degree in laws from University of Delhi and a master's degree in science (botany) from University of Delhi. A member of the Bar Council of Delhi, she has over 38 years of legal experience having worked with Bharat Heavy Electricals Limited, Punjab National Bank, and Allahabad Bank. She is an Independent Director on the board of CMR Toyotsu Aluminium India Private Limited.

Relationships Between Directors

Mr. Mohan Agarwal is the father of Mr. Akshay Agarwal and Mr. Raghav Agarwal. Mr. Akshay Agarwal and Mr. Raghav Agarwal are brothers. The three independent directors (Mr. Balvinder Kumar, Mr. Gyan Mohan, and Ms. Rashmi Verma) are not related to any other directors on the board.

Terms and Conditions

The remuneration and other terms of reappointment for the Managing Director and Whole-Time Directors shall be governed by the Nomination and Remuneration Committee and the Board of Directors from time to time. The terms of reappointment for Independent Directors shall similarly be governed by the Committee and Board.

Shareholder Approval Requirement

All reappointments are subject to approval by the shareholders of the company, as required under applicable regulations.
