Takeover Talks Between Commerzbank and UniCredit
On 1 August 2026, Bloomberg reported that Commerzbank AG Chief Executive Bettina Orlopp is scheduled to hold video‑conference talks with executives of UniCredit SpA in early August, shortly after Commerzbank releases its second‑quarter results. The discussions will focus on the future structure and management of Commerzbank as UniCredit moves closer to securing control of its German rival.
UniCredit has already obtained almost 18 % of Commerzbank’s shares through a tender offer that carried virtually no premium. When derivatives and the effect of a recent Commerzbank share buy‑back are taken into account, UniCredit’s effective holding is expected to rise to just under 50 %. This stake could give UniCredit a majority at shareholder meetings, although not every investor votes.
According to Commerzbank, UniCredit would need 75 % shareholder support to implement many significant changes, especially if minority shareholders, employees and management oppose its plans.
Orlopp has indicated that she expects the two sides to reach a friendly agreement. Her priorities include protecting Commerzbank’s international operations, preserving its separate stock‑market listing, and safeguarding shareholders who did not accept UniCredit’s offer.
UniCredit Chief Executive Andrea Orcel is expected to pursue cost savings of €1.4 billion, targeting reductions across Commerzbank’s international network and back‑office functions. Separately, Commerzbank has outlined a plan to cut about 3,000 jobs as part of a broader strategy to double its profit by 2030.
The German government, which holds more than 12 % of Commerzbank, and employee representatives continue to back Orlopp. Berlin, which previously opposed a takeover, has recently adopted a less resistant stance.
A full acquisition would become Europe’s largest banking transaction in roughly two decades, expanding UniCredit’s presence in Germany and Poland and furthering consolidation of Europe’s fragmented banking sector. UniCredit intends to operate Commerzbank independently for at least two years after gaining control before considering a combination with its German unit, HVB.
